Indianapolis, Indiana, Renaissance Electronic Services, LLC, an affiliate of the Vyne-branded healthcare technology companies, is searching for an attorney with experience in general business transaction matters to primarily support our dental software and services business and supplemental support to our affiliated entity’s medical software and services business. The attorney will provide counsel on a variety of general corporate, regulatory compliance, employment and commercial legal matters. This includes, but is not limited to, providing legal counsel and support to business teams, support for complex transactions, oversight of business litigation matters and drafting and negotiating various transactions. DUTIES & RESPONSIBILITIES
Address legal queries from business teams regarding various aspects of the law, the contract and the customer relationship, including compliance, intellectual property, data privacy and security, litigation and employment.
Review, draft, negotiate and manage a broad range of commercial agreements including, but not limited to, NDAs, Provider Agreements, Payor Agreements, Vendor agreements, Trading Partner Agreements, and Business Associate Agreements.
Review contracts against established standards and negotiate acceptable alternatives, working from templates and tools that the selected candidate will help create.
Assist the General Counsel and Associate General Counsel – Chief Privacy Officer with all legal, regulatory, dispute resolution, risk management, corporate governance and compliance responsibilities for all affiliated companies for the dental and medical lines of business.
Communicate effectively with sales, human resources, finance and other business units.
Assist with regulatory compliance and privacy matters associated with the healthcare industry, including but not limited to, HIPAA/HITECH, FCPA, and other federal and state privacy laws, and data protection for PII I /PHI.
Perform other duties as required and assigned by the General Counsel.
The successful candidate should have the following characteristics and experience:
Law Degree from an accredited Law School
Licensed to practice law in the State of Indiana
Two to six years of experience in a law firm and/or corporate legal department environment
Ability to communicate effectively, both written and verbally
Ability to understand and negotiate complex transactions
Demonstrated analytical and problem-solving skills
Exceptional organizational skills, self-motivated and ability to work independently and under pressure in a dynamic work environment
Ability to flexibly adapt to changing priorities and demanding deadlines
Superior research and writing skills
Excellent interpersonal, follow up and communication skills
Expertise with Microsoft Office products
Experience with technology, healthcare and/or employment matters is a plus
Some travel will be required
This role will be onsite at our Indianapolis, Indiana location.
