Since 2013, the Hong Kong Exchange has engaged in a gradual process of "plugging the loopholes" for backdoor listings and the creation of "shell" companies, with a view to improving the overall quality of the market. A series of new rules that came into effect on 1 October 2019 continue this trend, but have the potential to impact transactions by listed companies that are entered into for bona fide, well-founded corporate purposes. As the pace of global change accelerates and companies engage in investments and acquisitions in new areas, potentially taking their businesses into innovative industries and sectors, it is important for companies listed on the Hong Kong Exchange to understand the evolving regime for backdoor listings. They can then structure their transactions in thoughtful ways, addressing the concerns embedded in the rules, and ensuring that they can pursue their legitimate business interests.
