TOPIC: Latest Legal Trends in China's TMT Industry

Discussion topics will include:

  • Why do so many telecoms, media and technology (TMT) companies choose variable interest entities (VIE) given their risks?
  • Most red-chip listings for Chinese companies use either a straight-forward offshore listing structure or a VIE structure.  What are their advantages and disadvantages?
  • What are the unique issues that TMT companies face in M&A?
  • MOFCOM is flexing its muscles; what do GCs need to be aware of?

Julie Gao Julie Gao, Partner and Head of China Practice



Julie 
is widely recognised as one of Asia’s preeminent corporate attorneys. Ms. Gao has advised on the IPOs and other capital markets transactions of nearly 50 China-based companies, many of which are in the TMT industry. She has advised companies in M&A, IPOs, private placements, regulatory compliance, strategic investments, offerings of equity, convertible notes and debt securities, MBOs, PIPE transactions, anti-takeover measures, going-private transactions and crisis management. Ms. Gao has advised recognised private equity funds in their investment and LBO transactions. The American Lawyer named Ms. Gao as one of the 45 under 45 outstanding women lawyers, and The Asian Lawyer, its sister publication, honored her as an All-Star lawyer in Telecommunications, Media and Technology and as the Asia M&A Lawyer of the Year.
Will Cai Will Cai, Partner



Will focuses on cross-border China-related legal matters. He represents Chinese issuers and global investment banks in U.S. and Hong Kong capital market transactions. He also advises private equity funds and multinationals in their investments in the Greater China region, as well as Chinese companies in their cross-border M&A activities. From 1997 to 2003, Mr. Cai worked for the Supreme People’s Court of China as a judicial clerk, where he acquired extensive experience and knowledge of the Chinese judiciary.
Haiping Li Haiping Li, Partner



Haiping is the leader of Skadden’s Shanghai office. She focuses on corporate finance transactions; cross-border mergers, acquisitions and investments; and other general corporate matters. Shehas extensive experience in advising foreign private issuers, U.S. domestic issuers, selling shareholders, underwriters, initial purchasers in U.S. capital market transactions, including SEC-registered initial public offerings and follow-on equity and debt offerings, Rule 144A/Regulation S private placements, 1934 Act compliance and filings.
