The session will provide a comprehensive overview of the most important legal concepts in the context of dispute avoidance and resolution, including:

  • Options for termination of a contract and risks associated with wrongful termination;
  • Material adverse change (MAC) and material adverse effect (MAE) clauses and how they may be invoked in circumstances related to Covid-19;
  • Force majeure from a common law perspective, as well as the position in Hong Kong and Singapore;
  • The principles of frustration from a common law position, and under the laws of Hong Kong, Singapore and England and Wales;
  • Potential statutory rights to terminate a contract; and
  • Practical considerations you should consider for bringing claims in the current environment.

Matt Bower

Matt Bower, Partner

Matt is a partner in Allen & Overy's litigation and dispute resolution department. Matt advises investments banks, financial institutions and other clients in High Court litigation in England, Wales and Hong Kong and regulatory investigations. He is qualified as a solicitor both in Hong Kong, England and Wales.

Matt has particular experience of disputes arising from derivative, syndicated loan and asset management complaints and extensive trial experience. Matt also has substantial experience of advising clients on the conduct of regulatory investigations in the Asia-Pacific region, having advised on some of the most high profile benchmark investigations in the region concerning financial services conduct and competition issues and a number of investigations regarding the assessment of client suitability for financial products.

Matt is listed as Up and Coming in Chambers Asia Pacific 2019, which notes that clients “praise him as "technically very strong" and appreciate that "he comes up with innovative solutions."”Legal 500 2018 and 2019 both recommended Matt, noting in 2019 that he “comes highly recommended as ‘one of the best litigation partners in Hong Kong’”. Matt Hodgson

Matthew Hodgson, Partner

Matthew is a partner at Allen & Overy Hong Kong, and specialises in international arbitration. He has acted as counsel and advocate in commercial arbitrations under all major arbitral rules. He has also represented clients in more than ten investment treaty claims.

Matthew has particular experience of disputes relating to energy and infrastructure / construction projects, joint ventures, distribution agreements, financial instruments and post M&A matters. His clients are in a diverse range of industries, including financial institutions, energy and infrastructure, telecommunications, life sciences and technology.

Matthew is qualified as a solicitor in England, Wales and Hong Kong, and as an attorney in New York. He also sits as an arbitrator.

Who’s Who Legal (2019) describes him as a “deeply impressive lawyer and advocate”.

Joanne Lau

Joanne Lau, Of Counsel

Joanne is an Of Counsel in Allen & Overy’s Global Arbitration Group and is based in the Hong Kong office. She advises on both international commercial arbitrations and investment treaty arbitrations. She has represented clients in arbitrations under the HKIAC, ICC, SIAC and UNCITRAL Rules involving various jurisdictions such as Hong Kong, Taiwan, England, India, Japan and the Philippines.  Her clients are across a variety of industries, including the banking, energy and commercial sectors. She appeared in Legal 500 (2018) for Hong Kong International Arbitration. Joanne provided arbitration-related training workshops for the Supreme Court of Myanmar in 2016 and 2017.

Joanne is a Committee Member of the HK45, the HKIAC’s young arbitration practitioner body, and a co-editor of the HK45 Newsletter.

Joanne is admitted to practice in Hong Kong and speaks English, Cantonese and Mandarin.
