When parties are in negotiations, they are often under pressure to conclude them in the shortest possible time, with an adverse impact on the quality of the agreement. At the outset of their business relationship optimism is often high and thoughts of what could go wrong down the line may seem remote. The commercial rather than the legal team is typically in the driving seat. Yet where changes in external circumstances or party behaviour leads to a breakdown in the relationship, the absence of clear, legally enforceable terms can create problems for both sides.
In this discussion, our panel will consider the lessons that they have learnt from resolving disputes across the APAC region and will share the practical dos and don'ts of negotiating and entering into binding agreements. The panel will also discuss the traps to look out for when a dispute is imminent or has been formally commenced.

Matt Bower Matt Bower is a partner in Allen & Overy's litigation and dispute resolution department. Matt advises investments banks, financial institutions and other clients in High Court litigation in England, Wales and Hong Kong and regulatory investigations. He is qualified as a solicitor both in Hong Kong, England and Wales. Matt has particular experience of disputes arising from derivative, syndicated loan and asset management complaints and extensive trial experience. Matt also has substantial experience of advising clients on the conduct of regulatory investigations in the Asia-Pacific region, having advised on some of the most high profile benchmark investigations in the region concerning financial services conduct and competition issues and a number of investigations regarding the assessment of client suitability for financial products. Matthew Hodgson Matthew is a partner at Allen & Overy Hong Kong, and specialises in international arbitration. He has acted as counsel and advocate in commercial arbitrations under all major arbitral rules. He has also represented clients in more than ten investment treaty claims. Matthew has particular experience of disputes relating to energy and infrastructure / construction projects, joint ventures, distribution agreements, financial instruments and post M&A matters. His clients are in a diverse range of industries, including financial institutions, energy and infrastructure, telecommunications, life sciences and technology. Matthew is qualified as a solicitor in England, Wales and Hong Kong, and as an attorney in New York. He also sits as arbitrator. Joe Liu Joe is Deputy Secretary-General of HKIAC. Joe develops arbitration rules and procedures of HKIAC and promotes HKIAC’s dispute resolution services worldwide. He has acted as secretary to multiple tribunals in HKIAC-administered matters. Joe was instrumental in drafting the 2013 HKIAC Administered Arbitration Rules (the “2013 Rules”) and is a member of the HKIAC Rules Revision Committee that is currently considering amendments to the 2013 Rules. He is also a principal contributor to Moser & Bao, A Guide to the HKIAC Arbitration Rules – a detailed commentary to the 2013 Rules published by Oxford University Press. |

Wayne Bannon Wayne is General Counsel for The Carlyle Group in Asia and leads the legal, regulatory and compliance functions across the Asia region. The Carlyle Group opened its first office in Asia in 1998 and is one of the largest and most active global alternative asset manager investing across Asia. Carlyle has eight Asian offices with dedicated investment teams operating across buyout, growth capital, global credit, real estate, infrastructure and energy sectors. Wayne joined Carlyle in 2007 having previously worked for a number of years in Tokyo as regional counsel for the Securitized Products Group and the Leveraged Finance Group of a US Investment Bank and prior to that position Wayne worked in the London, Tokyo and Hong Kong offices of an international law firm. |
