ACC WI CLE Program and Networking Sponsored by Husch Blackwell

Companies' legal teams and their external lawyers can use political action to improve their approaches when facing regulatory challenges. To do this effectively, they need a team with solid experience in government relations. Yet, in many companies, the departments of legal advice, public relations, and lobbying work separately. This separation can result in poor risk management and missed warnings about potential risks.

Join Husch Blackwell and ACC Wisconsin for a presentation on corporate counsel’s use of governmental affairs consultants (lobbyists) to mitigate or eliminate the risk created by legislative, regulatory, or enforcement activity. This presentation will also delve into crucial aspects of ethics and legal compliance in relation to government affairs, including the gift rule, lobbying disclosure, campaign finance, political action committees, and pay-to-play government contract rules. These federal rules are very relevant and timely in light of the U.S. presidential election in 2024.

The North Florida ACC and McGuireWoods invite you and your colleagues to attend Tom Spahn's annual ethics program. This in-person-only event, a two-hour interactive program, uses hypotheticals to address the most basic question preceding any conflicts analysis and many other ethics and privilege analyses: Who is your client?
Topics

  • Client identity within the corporate entity, within the corporate family, during corporate stock and asset sale transactions, and when dealing with corporate employees

Please register by Sept. 8.

Navigating internal investigations is a complex process with a multitude of variables that can significantly impact the outcome for your organizations. Please join Wyche and the Association of Corporate Counsel for a thought-provoking CLE as we walk through the key aspects of this process from the initial response, to preserving evidence, to the ethics of an investigation. Wyche attorneys Camden Navarro Massingill, Jim May (former federal prosecutor), and Wallace Lightsey will share insights on these topics. A panel discussion moderated by Wyche attorney Meliah Bowers Jefferson will follow with behind-the-scenes perspectives from Emily Limehouse, U.S. Attorney’s Office General Crimes Deputy Chief over Florence and Charleston, Troy Tessier, VP and Deputy General Counsel for Milliken, and Wyche attorney Wade Kolb.

The CLE program will be on Tuesday, August 22nd from 4:00pm – 6:00pm at Hotel Hartness, with a cocktail reception to follow. We hope you can join us!

ACC Colorado 40 Years

READ MORE IN LAW WEEK COLORADO!

The legal profession has made substantial advances in recent years in its understanding of the need to actively invest in protecting and enhancing the mental wellbeing of legal workplaces.

However, progress has been uneven, and there is still much that can be done. Beyond the legal obligations of organisations to provide a psychologically safe workplace, there is also growing acceptance across the profession that delivering a mentally healthy workplace provides significant benefits for business.

This event will feature an interactive panel discussion around implementing mental wellbeing programs in legal workplaces. It will draw on the experiences of leaders in private practice and in-house legal teams to share perspectives on what has worked, what has not, and what the ongoing challenges are. Additionally, the panel will include a representative of law students and young lawyers, who will be able to talk to their expectations of potential employers, and their experience in engaging with legal employers through the recruitment process.

Leveraging AI While Keeping Your Company & Hiring Practice Ethical
11:15am – 12:15pm
Artificial Intelligence (AI) can have many practical uses for businesses, but there are plenty of
potential issues to avoid. Issues include the EEOC’s recent guidance on using AI in hiring (issued in May 2023), which has left many in-house legal and human resources departments with questions about how, or if, AI
may be used to help in the hiring process. This robust session focuses on how organizations can ethically
leverage AI tools in their hiring practices, as well as watchouts for in-house counsel when updating
company policies (e.g., code of ethics, employee handbooks, and IT policies), data privacy
considerations, and DE&I. Participants will leave with proactive ways to limit exposure, minimize the impact of potential issues if they arise, and successfullyleverage AI to improve policies and procedures for their organization.

The Duty of Competency for In-House Counsel: Do You Know What You Need To Know?
1:30pm – 2:30pm

Often, the most challenging part of being a lawyer is knowing what you don’t know. Yet it's also the foundation of competent legal practice. For in-house counsel this is an especially important issue, as you are often relied upon to be a “jack-of-all trades” when it comes to the law. This session will focus on how to be competent in an evolving legal landscape, including the importance of identifying competent co-counsel and resources to assist when confronted with unfamiliar legal issues in areas such as: Employment, IP, Litigation, Data Privacy, AI, Environmental, and Transactions. After discussing the duty of competence, this session will apply ethical rules to assess real-world examples of questionable attorney conduct. The panel will also include perspectives from an in-house attorney with personal examples from their own experience on seeking out additional help and
guidance when tackling novel legal issues.
Speakers:
Eva Weiler, Managing Partner, Shook Hardy & Bacon
Mariham Yaft, Associate, Shook Hardy & Bacon
Brady O'Bryan, Associate, Shook, Hardy & Bacon LLP
Eric Hobbs, Partner, Shook Hardy & Bacon LLP
Sylvia Hall, Corporate Counsel, Inspirato

As highlighted by recent regulatory proceedings, in-house counsel can face a difficult balance between their professional obligations and the day-to-day business requirements of their role.

This is apparent, for example, where a regulator expects in-house counsel to act as a kind of “internal whistle-blower” (sometimes referred to as a “duty to warn”).

This session will focus on the four key duties of lawyers under the Legal Profession Uniform Law, and their implications for in-house counsel. We will cover:

  • the paramount duty to the administration of justice;
  • the requirements of honesty;
  • obligations of confidentiality; and
  • the duty to maintain independence and avoid conflicts of interest.

Drawing on trends emerging from professional disciplinary actions, we will discuss how in-house counsel can balance their obligations effectively.

This program will address ethical issues facing in-house attorneys, who don’t operate trust accounts but have other important compliance concerns.  We will focus on communications with opposing parties (Nev. RPC 4.2), licensing issues for in-house counsel (Nev. SCR 49.1(1)(h), business transactions with clients (Nev. RPC 1.8), and the duty of communication and the scope of authority between lawyer and client (Nev. RPC 1.2 and 1.4). We will also discuss some “worst of the worst” disciplinary and malpractice cases from the last year.
