The legal profession has made substantial advances in recent years in its understanding of the need to actively invest in protecting and enhancing the mental wellbeing of legal workplaces.

However, progress has been uneven, and there is still much that can be done. Beyond the legal obligations of organisations to provide a psychologically safe workplace, there is also growing acceptance across the profession that delivering a mentally healthy workplace provides significant benefits for business.

This event will feature an interactive panel discussion around implementing mental wellbeing programs in legal workplaces. It will draw on the experiences of leaders in private practice and in-house legal teams to share perspectives on what has worked, what has not, and what the ongoing challenges are. Additionally, the panel will include a representative of law students and young lawyers, who will be able to talk to their expectations of potential employers, and their experience in engaging with legal employers through the recruitment process.

Data Privacy, Security, and Confidentiality for In-House Teams

How do cybersecurity and privacy issues play into the lawyer’s obligation to retain client confidentiality?  In-house teams work with large amounts of confidential and personal information on a daily basis. This session will provide ACC members with an overview of the ethical obligations relating to data protection, the risks associated with managing confidential and personal information, and day-to-day privacy and security considerations. Topics include an overview of Model Rule 1.6 (Confidentiality of Information) and how that translates into confidentiality practices and cybersecurity readiness, key laws related to data protection and privacy, practical steps for in-house teams to consider, the risks and implications of security events or confidentiality breaches, and ABA Ethics Opinion 483 (Lawyers’ Obligations After an Electronic Data Breach or Cyberattack).

Leveraging AI While Keeping Your Company & Hiring Practice Ethical

Artificial Intelligence (AI) can have many practical uses for businesses, but there are plenty of
potential issues to avoid. Issues include the EEOC’s recent guidance on using AI in hiring (issued in May 2023), which has left many in-house legal and human resources departments with questions about how, or if, AI
may be used to help in the hiring process. This robust session focuses on how organizations can ethically
leverage AI tools in their hiring practices, as well as watchouts for in-house counsel when updating
company policies (e.g., code of ethics, employee handbooks, and IT policies), data privacy
considerations, and DE&I. Participants will leave with proactive ways to limit exposure, minimize the impact of potential issues if they arise, and successfullyleverage AI to improve policies and procedures for their organization.

After discussing the duty of competence, this session will apply ethical rules to assess real-world examples of questionable attorney conduct. As highlighted by recent regulatory proceedings, in-house counsel can face a difficult balance between their professional obligations and the day-to-day business requirements of their role.

This is apparent, for example, where a regulator expects in-house counsel to act as a kind of “internal whistle-blower” (sometimes referred to as a “duty to warn”).

This session will focus on the four key duties of lawyers under the Legal Profession Uniform Law, and their implications for in-house counsel. We will cover:  

  • the paramount duty to the administration of justice;  
  • the requirements of honesty;  
  • obligations of confidentiality; and 
  • the duty to maintain independence and avoid conflicts of interest.  

Drawing on trends emerging from professional disciplinary actions, we will discuss how in-house counsel can balance their obligations effectively. 

This program will address ethical issues facing in-house attorneys, who don’t operate trust accounts but have other important compliance concerns.  We will focus on communications with opposing parties (Nev. RPC 4.2), licensing issues for in-house counsel (Nev. SCR 49.1(1)(h), business transactions with clients (Nev. RPC 1.8), and the duty of communication and the scope of authority between lawyer and client (Nev. RPC 1.2 and 1.4). We will also discuss some “worst of the worst” disciplinary and malpractice cases from the last year.

Helena Ledic is an Associate General Counsel with CSC, based in Chicago.   Helena is a corporate attorney advising senior management, multi-national corporations and law firms on business, legal, strategy and technology matters. Helena is the immediate past chair of the Association of Corporate Counsel’s Corporate and Securities Network and is a regular ACC panelist on topics involving legal ethics, SaaS, and security and non-disclosure agreements including speaking at the ACC Annual Meeting.  She is also a board member of ACC Chicago.  She is a frequent guest speaker at law firms and paralegal organizations on best practices regarding corporate and financial filings.  She is a graduate of Loyola University of Chicago School of Law and is licensed in Illinois.

Susan Hubbard
Susan Hubbard is the Senior Director, Assistant General Counsel at Ping Identity Corporation. Ping Identity is a high-growth cybersecurity company providing enterprise software and SaaS. Susan advises on a broad range of commercial and corporate matters, domestically and internationally, including data privacy and security, complex software/SaaS negotiations, intellectual property, employment matters, and legal operations. Prior to Ping Identity, Susan worked as Associate Counsel at Ciber, Inc. and in the Corporate & Business group at Brownstein Hyatt Farber Schreck. Susan earned her law degree from the University of Denver and a B.A. in Psychology from the University of Colorado.

Lindsey Schultz
Lindsey Schultz is Senior Managing Counsel and Head of Global Privacy Governance at Visa.  In her capacity in that role, Lindsey leads a team that oversees and advises on privacy risk assessments, privacy controls framework, data strategy, data subject rights, policies and standards, trainings, and other end-to-end governance work.  She also advises on a variety of high priority areas such as consumer protection, digital products, AI, adtech, and digital marketing.  Prior to joining Visa in 2020, Lindsey was with Western Union for over six years, where she last served as Counsel of Privacy Governance and Compliance.  Lindsey earned her JD and MBA from Willamette University, and she graduated from Boston University with a Bachelor of Science in Advertising.

The importance of in-house counsel maintaining independence, and the consequences of not maintaining that independence, has been highlighted in recent times in a series of Royal Commissions, Government inquiries and litigation.  These public hearings have illustrated issues as to the practical application of independence obligations of in-house counsel and how conflicts with independence obligations can manifest themselves. 

Our team will cover:

  • Conflicts with independence obligations, including conflicts with your personal interests, between different interests within the organisation and between the interests of the organisation and your primary duty to the Court
  • When to act, or not act, in accordance with legal advice given to your organisation
  • How any conflicts with independence interplay with the preservation of legal professional privilege
  • How you appropriate manage the risk of exposure to liability

This session will be relevant for all in-house counsel roles.

In this presentation, we will discuss the unique ethical challenges in-house lawyers face regarding their use of social media and technology in hiring, employee investigations, disciplinary processes, and discovery. WHAT IS CURLING?
Curling is a team sport, played on ice, where two teams take it in turns to slide stones made of granite towards a target – known as a House. It is an Olympic and Paralympic winter sport with medal disciplines for Women’s, Men’s, an Mixed Doubles. Join us an evening of game play and conversation with friends and colleagues. Work in small groups and learn the basic skill of delivery, sweeping and shot making.

WHEN YOU ARRIVE
Space is limited, so register as soon as possible! Upon arrival, each participant will sign a Release of Liability form. Please plan to arrive at 5:30pm and be ready to go at 6pm. The session begins with a short off ice introduction, then demo on the ice and break into teams of four for learning and game play.

Guests should wear clean, rubber-soled shoes and warm, comfortable clothing (athletic/stretchy pants, no jeans). Participants will be fitted for grippers to wear on the ice and brooms will be distributed. Locker rooms are available on-site.

It seems like a new data breach is reported every day in the media. While media reports of a breach are bad by themselves, mismanagement of investigation and response can turn a bad situation worse. We will review best practices following the discovery of a possible data breach, including critical decision making at the outset of an investigation, preservation of the attorney-client privilege, avoidance of conflicts, presenting investigation results to a variety of audiences, and preparing for post-breach litigation. We will think about the ethical duties that apply to attorneys, including in-house counsel, and how those might be implicated in various data breach scenarios. Finally, we will consider the ethical duties outside counsel owes to their clients when they experience a data breach.
