This program focuses on technology and in-house counsel’s ethical responsibilities surrounding agreements, compliance and data.  The program will include a review of relevant ABA model rules and other ABA and Colorado guidance.  Afterwards, panelists will discuss realistic scenarios touching on technology that in-house all while operating within our ethical obligations.

This presentation will cover various ethical traps that corporate counsel face and how to navigate them. Topics discussed will include ethical issues in negotiating contracts (including when corporate counsel has duties to disclose information), ethical issues when disputes arise, as well as conflict of interest issues pertaining to subsidiaries and affiliates and how to navigate these matters when you represent more than one entity.

Artificial intelligence is not only an exploding technology area, but it is diffusing into all sectors of business and life.  Even for those who do not work at a tech company, it is hard to avoid interacting with AI as every industry continues to use AI to improve its operations.  This presentation will discuss some of the legal ethical issues that arise with this emerging technology, including privacy and confidentiality considerations when using AI, ownership of work product when using AI to automate certain tasks, ethical considerations when using data and AI analytics, and other ethical issues surfacing with this technology.

As our employers’ representatives, we are expected to seek the best outcome we can achieve, whether that be in contract negotiation, enforcement of rights or in litigation. But we are also officers of the court, with a paramount obligation to ensure the interests of justice are served. Drawing the line between taking a tough approach in advancing an employer’s interests and a lawyer’s professional duties is not always easy.

Our experienced litigation lawyers will explore the duties owed by lawyers in this context covering the following:

•    the ethical framework and issues that arise for in-house lawyers in representing their employer’s interest
•    whether lawyers are placed at a disadvantage by having professional obligations that others may not have
•    the legal implications – unconscionable conduct under the ACL and misleading conduct
•    the use that may be made of statements made in (and knowledge gained from) without prejudice discussions
•    frankness in dealing with regulatory authorities
•    case studies on the above

Particularly in small in-house legal departments, attorneys are often asked to serve in various different roles. What is privileged legal advice vs. business communications? What obligations do counsel heave if they become aware of unethical/illegal practices in other parts of the Company? To whom does counsel owe her “loyalty” when there is a conflict between the interests of the Company and the CEO/management? This session will address these questions and more.

This presentation will cover a mix of updates, decisions, and rule proposals from this past year. The topics include a recent Wisconsin Supreme Court decision regarding offensive personality, risks of texting and phone discovery, updates regarding multijurisdictional practice and unauthorized practice of law, and a significant decision related to the limits of attorney-client privilege in the context of ethics investigations.
