For corporate boards, providing management oversight and strategic direction is expanding to include Environmental, Social and Governance (ESG) considerations. Board members must be able to assess both the business and legal risks across a range of ESG functions; from disclosures to supply-chain due diligence to reducing greenhouse gas emissions

Boards also are increasingly expected to address challenging hot issues involving human rights and Diversity Equity & Inclusion (DEI), such as LGBTQ+ rights, racial and gender equality, reproductive rights, and human trafficking.  Join us for a discussion of the Board’s role in navigating ESG strategies and differing approaches, whether a company is small or large, public or private.

Presented by Teresa Johnson, Partner, Corporate & Finance and Peter Gioello, Counsel, Environmental at Arnold & Porter and Shanda Botts, SVP, Ethics and Compliance, Employment Law & Litigation at AARP.

The modern workplace presents a continually evolving array of ethical issues for in-house counsel. The area of employment law has long been rife with ethical questions, which can only become more complex with the advent of remote and hybrid workplaces. Be prepared to identify and evaluate these challenges early and know how the Virginia Rules of Professional Responsibility apply. We will also examine where and when the Virginia Rules depart from the Model Rules.

This program will explore the ethical landmines waiting in workplace investigations, litigation discovery and related document issues, employee use of social media, employee monitoring, and other challenges presented by remote and hybrid workplaces. We will also examine issues relating to the representation of multiple interests, former employees, and strategies for what to do when things go wrong.

Presented by Elaine Horn and Ryan Scarborough, Partners at Williams & Connolly, Monica Bernstein, Executive Vice President and General Counsel at Crestline Hotels & Resorts, Grey Callaham, Senior Litigation Group Counsel at Johnson Controls and Lakshmi Williams, General Counsel & Corporate Secretary, North America at Transurban.

Whether your company is a serial acquirer or only grows more deliberately through acquisition, as in-house counsel you need to have command of the tax considerations that drive deal structure, valuation, and integration. Your tax department plays a key role in analyzing an acquisition and structuring the deal and you need to understand the issues that drive deal structure.

Attend this Webinar and:

  • Learn why a deal is structured as an asset purchase, stock acquisition or merger.
  • Determine and understand whether a deal is structured as a Section 368 tax-free reorganization or is taxable and the tax treatment of asset versus stock transactions.
  • How stock transactions can be treated as asset acquisitions under Section 338.

Our experts will highlight what they look for in tax due diligence and guide you through the importance and meaning of the representations and warranties in a purchase agreement. Finally, you will leave the webinar with a useful desk reference of the key terms and code sections that you will come across the next time your company is doing a deal.
