With the rise in pay transparency and pay reporting laws, activist shareholder proposals, and SEC pay disclosure requirements likely on the horizon, employers need to ensure they are in compliance with a patchwork of new state laws and consider whether and how they will communicate their pay philosophy.

In this session, we will cover changes from this past year in state/local pay reporting laws, laws banning inquiries about prior pay, and laws requiring disclosure of pay in recruiting and other materials. We will also briefly discuss potential changes to SEC disclosure pay disclosure requirements, and provide real-world examples of how shareholder proposals have led to pay disclosure requirements.  With a practical focus for DMV employers, we will discuss best practice recommendations for navigating all of these issues, along with practical tips for reviewing and improving pay equity.

Presented by Carson Sullivan, Partner and Sarah Besnoff, Associate at Paul Hastings and Lesley Marlin, Associate General Counsel at FINRA.

1.5 Hours of VA MCLE pending.

Canada finally has case law on what constitutes a “material adverse change” and what it means to operate a business in the “ordinary course”.

Over the past year, the Ontario Superior Court of Justice released two decisions arising from “busted deals” where the COVID lockdown hit the acquisition target’s business between signing and closing.  The result is a pair of must-read decisions for everyone in the field of M&A.

This session brings together expertise in both deal-making and M&A litigation and will cover everything you need to know about these important decisions and the impact on M&A going forward.

This year, we are partnering again with the Corporate and Regulatory Compliance Program at the University of Connecticut Law and Business schools to bring our community a terrific mix of topics, with thought leadership and plenty of practical advice.

We have representatives from government, academia, outside law firms, consulting, and area organizations who will be sharing their current thinking on what it takes to have an effective compliance program and where companies should be focusing their efforts given regulatory and enforcement priorities.  The Compliance Conference also will introduce new approaches to assessing Legal and Compliance Risk and bring active discussion around how to build a strong culture of compliance in today’s diverse and hybrid workplace.

The ACC Baltimore Board invites you to come for celebratory food, drink and great conversation with your Board members, past presidents, chapter members and representatives from our sponsoring law firms at Guilford Hall Brewery.  We will celebrate the 25th anniversary of the chapter, toast our sponsors who make these events possible, and enjoy the craft beers brewed up by the masters at Guilford Hall, along with wine, cocktails and European style pub fare.

We sincerely hope that you will join us for this fun evening that will be held OUTDOORS in the Guilford Gate Courtyard.

Join the ACC Georgia Chapter and Polsinelli for an opportunity to network with other in-house counsel and enjoy tasty small bites and cocktails.

We look forward to a fun evening and hope you can join us!

A CLE credit of one (1) hour is being applied for, and if approved, will be submitted to the Georgia State Bar for attendees licensed to practice in Georgia.

Following the pandemic’s “Great Resignation,” there has been a new push among employees to have their restrictive covenants declared unenforceable by the courts.  This seminar will provide you with a primer on the types of restrictive covenants that are recognized in Pennsylvania and some of the latest decisions from the Pennsylvania state and federal courts over their enforceability.
