Boards of directors are continuing to face a rising number of complicated corporate governance issues from their various stakeholders.  Boards are being pushed to have their companies take positions on issues that are supercharged by political and cultural opinions heavily debated through multiple channels of public discourse. Whether the issues relate to the environment, social causes, new technology, constituency representation, or the latest controversy in the news, in-house lawyers are frequently called upon to provide objective advice on the issues and to work through the legal, financial, and reputational risks with the management team.

The panel will talk through the latest corporate governance hot topics, discuss the various views, and provide practical advice on working with your company and team on issues such as board diversity and inclusion initiatives, ESG initiatives and state-level anti-ESG legislation, climate disclosures, executive compensation, cybersecurity disclosures, artificial intelligence use, risk management, cryptocurrency, and other current topics of interest.

Presented by J. Steven Patterson, Partner at Hunton Andrews Kurth and Anna Lueje, Associate General Counsel, Functional & Governance Lead at Raytheon.

The Potential Risks of Successor Liability

Description:

Many assume that, by structuring an acquisition as an asset purchase, a buyer can avoid its predecessor's liabilities. That's not always the case. This CLE explores exceptions to the general rule of non-liability in Tennessee and other jurisdictions so that in-house counsel can be aware and evaluate the risks of successor liability in the future.

Agenda:

11:30 AM - 12:00 PM Check-In

12:00 - 1:00 PM CLE Program

Concepts of accounting and finance pervade many areas where in-house lawyers are expected to provide their clients legal advice.  Having a working knowledge of foundational concepts of accounting and finance can inform and enhance the legal advice in-house counsel might offer like:

  • Financial disclosures;
  • Debt and equity finance;
  • Mergers and acquisitions;
  • Audits.

Many lawyers would find it helpful to better understand business finance and the jargon and acronyms attendant to financial discussions.

In this next installment of our Maine programming, Pierce Atwood lawyers, Ryan Kelley and Olga Goldberg, along with a BerryDunn accountant will team up to distill down and discuss core concepts of accounting and finance that in-house counsel should be familiar with, such as:

  • Form and substance of financial statements;
  • Recognition and components of revenue;
  • Key costs and drivers of profit;
  • Financial ratios;
  • Key performance indicators.

With the foundation laid, we will test your understanding in context by exploring multi-state tax issues that have relevance to any company whose business extends beyond its home state's borders and how those issues can impact a company's financial statements.  While we reinforce accounting and finance concepts, you will also learn to spot the activities that can create state and local tax exposure, including customers, employees, and inventory spread across state lines.

This in-person program is intended to be interactive and adaptive so, attendees are welcome to come equipped with any questions they may have and discrete topics within the broader scope of the program they wish to discuss.

Our speakers will address crafting a workable corporate AI policy that deals with not only the intellectual property issues but also the issues of setting out guidelines to deter employees from inappropriately submitting work generated by AI tools. The Inclusion, Equity & Diversity (IE&D) space has always been in a constant state of flux. The employer community, both globally and domestically, continues to traverse the narrow path of developing and maintaining legally compliant IE&D programs especially as the terrain continues to shift beneath their feet with emergent issues such as pay equity and pay transparency, Artificial Intelligence, data analytics, ESG reporting, affirmative action, and IE&D focused litigation. The foundation appears even more perilous in the US specifically in light of recent and pending Supreme Court decisions.

In this session, we will delve into these evolving and complex issues and provide attendees with a better vantage point for which to take their IE&D initiatives into 2024.

Presented by Joon Hwang, Brandon Mita and Bethany Ingle, Shareholders at Littler Mendelson, and Zarra Elias, Assistant General Counsel at Moffitt Cancer Center.
