Recent years have seen several significant developments and cases in shareholder class action litigation, impacting the landscape in several ways, including mega-settlements and billion-dollar cases, rise of AI-related claims, antitrust actions and fiduciary duty settlements.

Our panel will also provide insights into the impact of legal and regulatory changes including recent Supreme Court decisions and other notable shifts and ongoing trends in securities class action filings and settlement values, as well as practical guidance for companies and their shareholders.

Presented by Scott Barnard, Stephanie Lindemuth, Brennan Meier, Partners at Akin, and Kristin Meister, General Counsel & Chief Compliance Officer at Last Energy.

1.5 Hours of VA MCLE pending.

This event will provide an in-depth exploration of key ethical issues in legal practice, including outside counsel guidelines, civility, and joint representation. Attendees will gain practical insights into managing conflicts, upholding professionalism, and ensuring ethical compliance in complex situations.

AI: Practical Insights on AI, Automation, and Ethics
In this discussion, a multi-disciplinary team of attorneys will discuss how legal teams are applying AI and automation to drive efficiency, streamline operations and deliver greater value within the boundaries of their ethical obligations. Drawing on their experience advising clients from across sectors, including those with affiliated and tech-driven business lines, they will provide practical insights into what is working, what is not and where we believe the future of legal is headed.

The DEI Landscape: Legal Challenges and Their Impact in the Judicial System
This session will explore how recent federal legal developments and judicial scrutiny of Diversity, Equity, and Inclusion initiatives are shaping broader conversations about justice, fairness, and legitimacy within the U.S. legal system. Presently, there are competing interpretations of what is lawful in the DEI landscape—the law says one thing, public opinion says another, and the presidential administration has issued executive orders and agency directives seemingly intended to change the law. As courts increasingly weigh in on the constitutionality and legality of DEI-related employment practices, in-house counsel must not only ensure compliance but also understand how these legal outcomes influence public perceptions of fairness and the credibility of the judiciary. In-house counsel is at the forefront and, with a rapidly evolving legal and public opinion landscape, compliance in this area is rife with legal and ethical issues, both under the law and the rules of professional conduct. This session will provide strategic guidance for navigating the intersection of legal compliance, ethical responsibility, and public accountability in today’s evolving judicial landscape.

In today’s environment, corporate crises are increasingly public, high-stakes, and fast-moving. From data breaches to leadership misconduct, in-house counsel must play a leading role in crisis preparedness and response. This includes managing legal risks while also protecting the company’s reputation and brand equity.

This one-hour CLE webinar, designed for in-house counsel across industries, offers practical guidance on managing two common but complex crisis scenarios. Legal, communications, and HR experts will share real-world insights and strategic frameworks for leading through disruption.

Part One of the program focuses on how to respond to cybersecurity breaches. Topics include how to work effectively with both internal and external communications teams. Attendees will learn how to:

  • Engage internal communications early to maintain consistency and control.
  • Coordinate with external PR firms that are funded through cyber insurance policies.
  • Deliver timely, legally sound messaging to stakeholders, regulators, and the public.
  • Protect the company’s reputation while meeting legal and regulatory obligations.

Part Two of the program will focus on leadership misconduct. A recent case study will be discussed involving the CEO and Head of HR at Astronomer, whose undisclosed romantic relationship became public. This segment will feature a crisis communications expert and an employment law attorney. Topics will include:

  • Legal and reputational risks associated with executive misconduct.
  • Developing internal and external messaging that aligns with company values and legal standards.
  • HR policies, workplace culture implications, and leadership accountability.
  • Managing board communications and expectations during sensitive situations.
  • Long-term strategies for rebuilding trust and protecting the corporate brand.

Part Three of program will take the lessons of both cyber incidents and apply those to domestic and global risk management in today’s globalized and polarized political environment.

  • Risk management and corporate governance strategies and communications in the shifting tides.
  • When changed domestic ESG and DEI pressures and regulations conflict with global requirements and customer markets.
  • Managing and protecting reputations in times of uncertainty.
  • Relying on the “Prepare Respond Recover” model.
