The Bridges Group has always been about bringing Members together to learn more about the differences and similarities between people.

In today’s politically charged environment, companies are facing pressure from customers, employees, interest groups and other stakeholders to take positions on social, political and electoral issues at the risk of becoming targets of political retaliation — e.g., Disney and the “Don’t Say Gay” law; Delta Air Lines and Georgia’s voting restrictions and now, numerous companies and their response to the Dobbs decision.

Several legal issues are implicated, including corporate free speech, corporate political giving, associational and industry coordination, corporate lobbying, ESG/crisis management, employee speech/mobilization and electoral politics.

In a roundtable-style discussion, we will discuss these issues and best practices for dealing with competing interests.

Post- Transaction Litigation - Current Trends and Avoidance Strategies

K&L's panel of experts will present recent trends in how mergers and acquisitions have gone wrong and discuss proactive strategies in-house attorneys can take to help avoid or mitigate common causes of post-transaction litigation.

Government Investigations - Lessons Learned and Best Practices

A team of K&L's highly-experienced government policy and regulatory attorneys, along with in-house attorneys at some highly regulated companies, will review what you should do when the government comes knocking, and what you should be doing now to better prepare yourself for that day. The presentation will focus on practical advice and real world examples for effectively preparing for and, if necessary, responding to government investigations.

Immediately following the program, please join ACC-TN, your in-house colleagues, and program presenters for drinks, hors d'oeuvres, and relaxed conversations.

The panelists will discuss recent developments regarding general release agreements and provide an overview of key components of a general release.  The presentation will include discussion regarding confidentiality and non-disclosure provisions, as well as federal proposals to ban confidentiality provisions;  loss of the federal business expense tax deduction if a confidentiality provision is included within a sexual harassment settlement agreement; the inclusion of an NLRA disclaimer in settlement agreements; language to provide a waiver or estoppel defense against FLSA claims that have not been released with court approval; the enforceability of restrictive covenants in a general release agreement executed after termination and more.
