This CLE will discuss best practices and contract drafting strategies to both mitigate the risk inherent in a modern supply chain and to put you in a proactive position to navigate future supply chain crises.

The Agenda for the 23rd Annual Event will vary slightly from years past. With many upgrades for this 23rd Annual in-person event, we are thrilled to announce that our golfers will be able to enjoy Houston's premier PGA golf course, Memorial Golf Course.  Reopened and totally upgraded after a year-long closure, this popular in-town muni sports fascinating green contours, modest but strategic bunkering, and acres of short-grass runoff around putting surfaces. The Original John Bredemus routing from 1936 has been tweaked some to make betters of the basically flat site, with lots of understory and trees removed to expose the ravines and make it spectator friendly for the PGA Tour's annual Houston Open. The work by architect Tom Doak was enhanced by consulting of 4-time major winner Brooks Koepka. Together, they have produced a golf course that tests everyday players and elite golfers.

Not to be outdone by golf, our spa attendees will see increased amenities and time at Trellis Spa at The Houstonian Hotel.  Trellis spa boasts as a Mediterranean style spa surrounding a courtyard that offers a beautiful, natural garden environment seen through large windows located throughout the spa.  In the newly renovated spa, our attendees will choose from massage, facial, manicure and pedicure treatments. ACC Houston members and sponsors will also have their choice of attending a floral design class sponsored by Kean Miller.  Yoga and tennis lessons by the pros at The Houstonian will also be options for our spa attendees.

This is our annual "Can't Miss Event"!  Plan to carve out time for the whole day for this event; you'll be glad you did!

Join ACC for a fun networking event and trivia night at The Brewtorium! Enjoy light noshes, good beer and get ready to answer trivia questions to win prizes! Our sponsor, Southern Attorney Search, is an Austin-based legal search firm that helps corporate legal departments find the best attorney and staff talent here in Austin. The are excited to finally combine their love for recruiting, trivia and beer drinking all into one night!

Space is limited, so grab your spot soon!

Directors and officers of companies face an array of litigation risks, from shareholder lawsuits alleging breach of fiduciary duties or securities fraud to civil or criminal enforcement actions for alleged violations of state and federal securities laws and regulations. Today, it seems any merger announcement, drop in stock price, or disclosure of "bad news" (e.g., disappointing financial results, a product recall, a regulatory inquiry, etc.) can be expected to invite litigation. Although the suites are seldom meritorious, they can be distracting and a drain on resources. Drawing on the speakers' years of practice defending against these kinds in Delaware, Texas, and federal case law, this program aims to provide directors and officers with a roadmap to protect themselves and their companies from liability and ideally nip any actions in the bud.

SPEAKERS:

Mark Oakes, Partner-in-Charge | Norton Rose Fulbright, Austin, TX

Ryan Meltzer, Senior Associate | Norton Rose Fulbright, Austin, TX

ATTENDANCE INFORMATION:

ACC Austin asks that members be vaccinated against COVID-19 before joining us at our in-person event.

Join us for a rare discussion with Weston Urban co-founder and CEO, Randy Smith, Lauren Valkenaar and Natsumi Covey of Chasnoff Stribling, regarding best business practices when advising directors, contract obligations and real estate decisions.  The presentation will discuss director responsibilities, including recent legal decisions and practical tips for in house counsel to advise their boards to assist in governance and protecting privileged discussions. The discussion will also include a presentation of what is next for San Antonio’s downtown, and recent developments in contract and real estate jurisprudence that in house should be mindful of.  Randy will also share with us where he thinks commercial development is going post pandemic, and his views on how legal developments may impact real estate going forward, including what businesses should be considering when making real estate choices.
