JOINTLY PRESENT

Diversity, Equity and Inclusion: Avoiding Litigation Risk and Complying with Ethical Obligations

Presented by: John Lewis, Jr., Justin Donoho, and Yara Rashad

Wednesday, August 9, 2023

12:00PM – 1:00PM

Virtual Zoom Presentation

Program Description:  Can shareholders successfully sue companies for securities fraud for alleged misrepresentations regarding DEI progress? Does SEC-approved NASDAQ rulemaking requiring corporate diversity disclosures amount to agency overreach? Is promoting DEI in the legal profession an ethical duty for attorneys such that failure to promote DEI might subject a lawyer to discipline?

Join us for a discussion exploring the intersection of diversity, equity and inclusion and corporate governance where we will also consider the role that we play as lawyers to ensure the administration of justice.

Course Outline:

·         DEI Overview (10 minutes)

·         Corporate Governance and DEI (25 minutes)

·         DEI Best Practices (20 minutes)

·         Conclusion and Q&A (5 minutes)

We encourage members to bring an associate or colleague that may be interested in joining the ACC Mid-America Chapter. The Association of Corporate Counsel offers numerous benefits and resources to in-house counsel including CLE offerings and networking opportunities and we look forward to sharing that information with others in the field.

Non-compete agreements are under attack on the federal and state levels, making them more difficult to enforce.  Good employees are harder than ever to find.  In this legal and economic climate, what strategies are available for protecting your company from competition by former employees, poaching of your employees by a competitor, and disclosure of proprietary information?  We will address the status of the Federal Trade Commission’s proposed ban on non-compete agreements, including what the final rule might look like and the likelihood of it surviving legal challenge.  Since most companies are in multiple states or at least employ workers outside of Alabama, we will cover what is happening across the country on the state level.  We will also discuss best practices for utilizing non-disclosure agreements, non-solicitation agreements, and taking advantage of trade secret laws.

In the current economic climate, today’s law department faces no small number of challenges. The annual State of the Corporate Law Department Report from Thomson Reuters has seen a shift in Legal Department priorities over the last few years, with compliance & regulatory requirements rising to the top, followed closely by risk management, data privacy & cost control. What’s more - 65% of corporate law departments are experiencing increasing matter volumes, while 59% are dealing with flat if not decreasing budgets. In an environment where you’re constantly being asked to do more with less, how do you prioritize while also driving the greatest value for your organization?

It’s hard to know how to best manage and what tools are available to help lighten the load. Join us for an interactive discussion to learn about:
•    Data driven insights around the shifting key challenges law departments are facing across the country
•    How AI and Large Language Models (LLMs) could impact the legal industry and benefit corporate legal departments
•    Roundtable discussion with your peers on actionable best practices including, how to shift outside counsel spend to realize cost savings while not sacrificing quality, how to sustainably bring more work in-house, and how to partner legal with legal ops to measure and track the value of efficiency changes.
•    Report out from roundtable discussion & consensus on best practices for real world use

Join us for lunch and get to know your peers!

We are continuing our GC/CLO Club designed to connect ACC Chicago members who are in a senior leadership role within their law departments. Please join us to network, share best practices, and participate in a roundtable discussion on current issues at the KONE Americas HQ in Lisle hosted by one of our Membership Chairs, Divya Mehta.

Divya is the General Counsel at KONE Americas.  KONE is a global leader in the elevator and escalator industry, providing elevators and escalators, as well as solutions for maintenance and modernization to add value to buildings throughout their life cycle.  KONE’s mission is to make cities better places to live by improving the flow of urban life through more effective People Flow.
