The Future of Electricity in Texas: How are We Going to Keep the Lights On?

The CLE will discuss effects of the past Texas Legislative Session, the Public Utility Commission of Texas, local government, and other policy makers on future investment in the Texas grid, new power plants, and new technologies, including battery storage and electric vehicles.

Program Description:  Can shareholders successfully sue companies for securities fraud for alleged misrepresentations regarding DEI progress? Does SEC-approved NASDAQ rulemaking requiring corporate diversity disclosures amount to agency overreach? Is promoting DEI in the legal profession an ethical duty for attorneys such that failure to promote DEI might subject a lawyer to discipline? 

Join us for a discussion exploring the intersection of diversity, equity and inclusion and corporate governance where we will also consider the role that we play as lawyers to ensure the administration of justice.

Non-compete agreements are under attack on the federal and state levels, making them more difficult to enforce.  Good employees are harder than ever to find.  In this legal and economic climate, what strategies are available for protecting your company from competition by former employees, poaching of your employees by a competitor, and disclosure of proprietary information?  We will address the status of the Federal Trade Commission’s proposed ban on non-compete agreements, including what the final rule might look like and the likelihood of it surviving legal challenge.  Since most companies are in multiple states or at least employ workers outside of Alabama, we will cover what is happening across the country on the state level.  We will also discuss best practices for utilizing non-disclosure agreements, non-solicitation agreements, and taking advantage of trade secret laws.

The annual State of the Corporate Law Department Report from Thomson Reuters has seen a shift in Legal Department priorities over the last few years, with compliance & regulatory requirements rising to the top, followed closely by risk management, data privacy & cost control. What’s more - 65% of corporate law departments are experiencing increasing matter volumes, while 59% are dealing with flat if not decreasing budgets. In an environment where you’re constantly being asked to do more with less, how do you prioritize while also driving the greatest value for your organization?
