CLE Overview:

In-house counsel face unique challenges with respect to preserving privilege.  Should a company become involved in litigation or a government investigation, the steps taken by in house counsel can become critically important in protecting attorney-client communications from disclosure. 
 
In this presentation, V&E provides practical insights into how in-house counsel can best protect privilege in a variety of situations, including:
  • Differentiating between legal and business roles;
  • Inadvertent disclosure of privileged information;
  • Conducting internal investigations;
  • Negotiating transactions;
  • Sharing information with PR firms, auditors, and insurance carriers; and
  • Communicating with affiliates or portfolio companies.
V&E will also provide an overview/refresher on what communications are protected by privilege and how to avoid waiving privilege.

The Enron collapse and bankruptcy was unprecedented in its size and scope. Phil Sisneros, who worked at—and left—Enron before its collapse, will walk us through a straightforward explanation of what happened and why. He will also discuss the contribution of the culture of the company and its role in the Enron failure. More importantly, Prof. Sisneros will cover how today’s In house counsel can guard against similar situations.

Phil taught finance as an Assistant Professor at Lehigh University and the University of Houston from 1987 - 1995, focusing on Corporate Finance and Investment courses at the undergraduate and MBA levels. He has published research in referred finance journals and in 1985 coauthored Financial Management with Lotus 1-2-3.

Phil joined the Treasury group at Enron Corp. in 1995 and in 1999 moved to Enron Broadband. At Enron Broadband, Phil was involved with the firm’s business development activities.

After leaving Enron Broadband in 2000, Phil did some consulting with technology and communication companies and then joined AT&T Wireless as an Assistant Treasurer in 2001. In 2006, Phil joined International Paper as an Assistant Treasurer.

Phil’s professional activities include the negotiation of multi-billion dollar funding transactions in the bank and capital markets, structured finance transactions, interest rate hedging, and involvement in acquisition and divestitures activity.

Phil earned his undergraduate finance degree from the University of New Mexico and finance Ph.D. from Texas Tech University.

In our fast-paced, working world, it is easy to get swept up in the day to day stress of trying to do it all. Be great at your job. Be loving in your relationships. Be kind to yourself. But, it isn’t easy when failures occur every day and we compare ourselves to the curated narratives of others on social media. So, how do we combat that inner voice always questioning if we are enough? Using Dr. Kristen Neff’s research, this workshop will explore the three tenants of self-compassion and how it can radically change the way we view ourselves and others. Self-Compassion alleviates unnecessary stress, creates more caring behaviors, and reduces reactive anger and jealousy.

DLA Piper’s newest film, Something to Report, is a fictional drama depicting a corporation dealing with multiple issues: a distributor kickback scheme spanning multiple countries, whistleblower response control, compliance and internal audit failures, insufficient investigative resources, and the delicate balance of managing internal investigations, reporting requirements and stakeholder interests.
