You negotiated and executed a contract and now that contract is in litigation, what does that mean for your company?

This program will:
•    Discuss litigation hold and its application for the company.
•    Explore document preservation, including the preservation of drafts, emails and internal company documents.
•    Discuss who becomes a witness and how the witness will prepare, including both business and in-house counsel.
•    Explore the interplay and application of attorney-client privilege and work product doctrine, especially when the negotiations of the contract are being discovered.
•    Discuss handling ambiguities, identifying them before litigation, developing parole evidence, and fixing them for the next contract.
•    Explore ethics issues involving document preservation, the role of in-house counsel, and representation issues for outside counsel.

Wouldn’t it be great if short written contract could clearly and unambiguously memorialize the entire intent of the parties, no matter what came next? Drafting, negotiating, and litigating contracts with customers, vendors, and employees is part of nearly every in-house lawyer’s job. And no contract is perfect, especially in hindsight when it’s being evaluated in a set of circumstances that was not contemplated by the parties when it was negotiated. Which clauses tend to present the highest pain points in a subsequent dispute? Which rules of contract construction are most important to keep in mind in your negotiations? Is a no-waiver clause actually enforceable? Has COVID resulted in any uptick in claims? Can insurance provision help provide companies with coverage from events in recent months? A surge of new data privacy regulations is igniting a sea change for corporate counsel. With more regulations on the horizon, compliance efforts must be agile and iterative and provide the greatest level of diligence and defensibility. Get real insights, practical guidance, and lessons learned from panelists as they share tactics to mitigate the legal and financial consequences of data privacy regulations.  

To stay in compliance with e-discovery rules, legal professionals must keep a pulse on how judges are
applying those laws. Hear from a roundtable of judges on what e-discovery practices they want to see in
their courtrooms and get a first glimpse at the new federal judges survey results.

Both despite and because of the pandemic, 2020 has been an active year in privacy and data security activity and enforcement.  On the privacy front, issues related to contact tracing, employee and student safety, and remote working and learning are getting scrutinized and legislated. Yet, those pandemic-related privacy issues have nearly been overshadowed by the flood of California Consumer Privacy Act (“CCPA”) civil suits that have been filed since the law took effect on January 1; and a November ballot initiative could expand the CCPA’s scope and reach even further.  Abroad, there have been significant decisions affecting international transfers of personal data to the United States, most crucially, Schrems II. And regulatory enforcement and civil actions surrounding niche issues like biometric privacy are also on the rise.  On the data security front, threat actors are taking advantage of unprecedented vulnerabilities created by the uncertainty of the pandemic and the hurried shift to remote work environments. Security incidents have increased across industries this year.  This panel will address the lessons learned from what we’ve seen so far this year and how to minimize privacy and data security legal exposure going forward.

Just because we can't gather easily in person doesn't mean you can't do some peer networking over a beverage or two. We've hired a mixologist from the renowned Milwaukee-based bitters producer, Bittercube, to demonstrate how to prepare two classic cocktails (one shaken and one stirred) and to share the interesting lore about how and where those drinks originated. Whether you make one, both or neither of them, you'll no doubt learn a few things while reconnecting with ACC colleagues.

Even the most self-aware individuals probably harbor some implicit biases, whether they realize it or not.  These biases play out every day in corporate America and the judicial system. 

This seminar will address understanding, recognizing and counteracting implicit bias in the work place and the courtroom.
