Program Description: America faced a host of challenges in 2020, including a pandemic, political polarization, protests, natural disasters, a presidential election, the “Zoom” boom and our favorite – murder hornets. 2020 changed our way of life and the way most companies do business. This presentation will push past the noise and help employers focus on what to expect beyond the election and into 2021. We will discuss recommended changes to policy and practice, as well as issues in-house counsel should monitor as the year progresses.

   Discussion Topics & Objectives:

·       Anticipated post-election legal issues (for example, changes to federal agency priorities, anticipated legislative action) (25 minutes)

·       Recommended changes to employment policy or practice for early 2021 (for example, implementing/revising work from home policies, sick leave and PTO reporting) (25 minutes)

·       Labor and employment issues to watch in 2021 (10 minutes)

We encourage members to bring an associate or colleague that may be interested in joining the ACC Mid-America Chapter. Justin, labor and employment chair and COVID 19 task force co-chair with Chambliss, will provide an overview of the state of the legal landscape as it relates to running your business today and the implications for year end 2021.

During the program, Justin will discuss:

  • Where businesses that received loans during the pandemic stand today?
  • Things businesses (small and large) need to keep in mind during Q4 and year-end?
  • Labor and employment/financial results and aftermath of coronavirus, ways to prepare businesses to be successful in 2021 after reviewing the labor and employment/financial results and aftermath of coronavirus
  • Legal obligations that remain in effect through 2021
  • Ideas/ways to prepare for an emergency in the future (COVID-19 took many by surprise)
  • How has coronavirus changed the way we do business (both large and small businesses)

While IP assets and technology rights have always been central in businesses involving biotechnology and software, these assets and rights are becoming increasingly critical to “non-tech” businesses as well. Moreover, businesses of all stripes are using IP assets and technology rights to benefit stakeholders and/or gain a competitive edge. This drives the need to better assess the portfolio of rights and related risks in the context of M&A deals. Issues surrounding ownership, trade secrets and technology licensing, as well as customer or other personally identifiable data, are common.

Recent M&A activity has highlighted the need to conduct careful due diligence, identify important IP assets and anticipate related issues that may arise before committing to the transaction.
