Corporate counsel are often tasked with negotiating, finalizing, and managing contracts of all shapes and sizes.  While the deal-specific terms are often the focus, “boilerplate” provisions can have significant impacts on risk allocation, damages exposure, likelihood of recovery, leverage, and insurance coverage when a dispute arises.  In this program, two litigators will lead a discussion about practical and strategic considerations in drafting and evaluating clauses governing limitations of liability, indemnity, dispute resolution, and insurance, and other so-called “boilerplate” provisions that should not be overlooked.

Join ACC St. Louis and Husch Blackwell at their brand new offices for CLE on Corporate Counsel:  Using Government Affairs for Risk Mitigation on Thursday, June 8th followed by happy hour on their patio!

This program will be focused on how Corporate Counsel can utilize governmental affairs consultants (lobbyists) to mitigate or eliminate risk created by legislative, regulatory or enforcement activity at the federal or state level.

The first portion of the presentation will look at the vested interest in risk management and the strategic use of government affairs professionals to manage, mitigate and eliminate risk.  While Corporate Counsel  and their outside counsel almost always have the expertise to address regulatory or enforcement actions, their strategies often can be strengthened or amplified by political action.

The second portion of the presentation will cover ethics and legal compliance topics of which inside counsel should be aware related to government affairs. These federal and state compliance topics include the following:

  • Gift rule;
  • Lobbying disclosure;
  • Campaign finance;
  • Political Action Committees; and
  • Pay to play government contract rules.

Leadership Lessons from the GC-Suite
In any company, the legal department strives to be a strategic partner across all business units. In turn, business leaders are expecting their legal departments to be more engaged beyond just the legal work and continuously challenge in-house counsel to adapt to growing and changing demands. In this program, our speakers will share examples of ways in which they have proactively aligned with company executives to support the business units, while sharing some of their challenges and new-found opportunities.

At the conclusion of this program, attendees will come away with real-world examples to integrate into their in-house legal department processes and ideas as to how they can add value to the business. Examples may include the following:

  • Demonstrating resiliency in unpredictable markets
  • Helping to advance ESG, CSR and DEI goals of the company
  • Proactively building relationships with business unit leaders
  • Developing a sense of trust among employees

Recent buzzworthy opinions have put NFTs (non-fungible tokens) in the headlines. But the impact of NFTs extends far beyond Birken bags and Bored Apes. What exactly are NFTs and what should in-house counsel know about them? As companies of all types leverage this emerging technology, the growth of the NFT market has spurred some unique legal issues and disputes.

Carlson Caspers attorneys Tara Norgard and Caroline Marsili will provide an overview of NFTs and their rapidly evolving business applications, followed by an update on leading-edge cases and the legal issues this technology presents, with a focus on intellectual property, and practice pointers for brands and business transactions in the NFT market.

Registration is free and open to ACC members and first-time in-house counsel guests. 1 Standard CLE credit is pending in Minnesota.
