COURSE DETAILS
The Ethics of Outside Counsel Guidelines: Explore the ethical considerations involved in adhering to outside counsel guidelines. This session will examine potential conflicts, compliance challenges, and the responsibilities of legal professionals when navigating these contractual obligations.

What is Civility: Delve into the importance of civility in the legal profession and its ethical implications. This session will examine ethical rules and guidance related to civility and best practices for maintaining professionalism and respect in communications with opposing counsel and courts.

The O’Jays and Joint Representation: This session will analyze the ethical complexities of joint representation, drawing lessons and inspiration from the music of R&B group The O’Jays. Attendees will learn about conflicts of interest that can arise and factors to consider when deciding whether to proceed with a joint representation.

"Building and Managing Multi-Jurisdictional Teams: Compliance Considerations Behind a Growing Trend"

Talent acquisition is becoming an increasingly international game. Advances in technology and “proof of concept” experiences during the pandemic have prompted many hiring managers to pursue the “best available” irrespective of their physical location. Indeed, we are seeing a proliferation of multi-jurisdictional teams across myriad business functions, including within previously wholly domestic enterprises. 

This movement carries a great many potential benefits. However, this new paradigm also is replete with employment law compliance obligations. While business leaders chase key talent and cohesion, corporate counsel should stay vigilant in respect of the HR compliance distinctions that arise as businesses hire across borders. Accordingly, this session will explore the employment law issues to be considered when a business is building or managing a single, integrated team operating in multiple jurisdictions. Specific topics will include practical employment law considerations for international teams, options for hiring talent abroad and the resulting impact on compliance obligations, and a discussion of how team-wide policies and procedures may be impacted by international team growth.

Chapter 11 provides debtors with a “fresh start,” relieving them of their financial obligations by creating an orderly and efficient process to pay off creditors. 

This CLE will address issues of concern to companies that are creditors of a Chapter 11 Debtor. It will also provide an overview of the Chapter 11 process and review essential bankruptcy concepts and legal principles.

With the election of the next President of the United States looming large, it is critical for organizations to gain a handle on how to manage political expression, speech and activity in the workplace. Organizations also need to understand permissible parameters when it comes to supporting a particular candidate, soliciting political contribution, or sponsoring campaign events, as well as understand how to confront other issues related to elections and voting. Join us for the conversation about this and more.

More and more companies—from all industries—are receiving subpoenas or Civil Investigative Demands from federal and state governments.  If your company is on the receiving end of one, what do you do next?  We will discuss the strategic and practical considerations of responding to the demand, from document production, witness interviews, interfacing with the government, and all the steps through preparation for potential litigation.

With a January 1, 2025 compliance deadline looming, business entities must understand their compliance obligations under the Financial Crimes Enforcement Network (FinCEN) Beneficial Ownership Information Reporting Rule, promulgated under the Corporate Transparency Act. During this presentation, we will explore the key aspects of the rule, including its purpose and scope, as well as exemptions from and requirements for compliance by the upcoming deadline. Participants will gain insights into identifying beneficial owners, the necessary information to report, and the implications for legal practice. We will also discuss best practices for ensuring compliance and potential pitfalls to avoid. By the end of the session, attendees will be better equipped to navigate this important regulatory framework.
