Mykkeltvedt will offer a presentation on the ethical considerations between in-house and outside counsel. Topics will include, competence, conflicts, fees, confidentiality and more. Anti-Corruption, Ethics, and Compliance

This panel will cover recent corporate criminal enforcement in the EU as well as U.S. enforcement of EU-based companies; how privacy laws and governance frameworks affect internal investigations and other compliance efforts, and ways to overcome those obstacles; and what elements or aspects of due diligence frameworks and systems have worked.

Well, here we are at that time of year again. The new year is well under way. Resolution time has come and , for most, has gone. Research has shown that within weeks, only about 10% or so of the resolvers accomplish their resolutions—with the majority of the other resolvers abandoning them. And lawyers?? How many of us in practice do “take five”, or even four? How many don’t take anything? We feel we have to be super lawyers.

In this informative presentation you will hear several suggestions on how to make New Year’s resolutions stick and not fizzle out like fireworks on a rainy night. But in this case they may not just light up the sky, but brighten your life- both personally and professionally.

Recent studies have shown that there has been a dramatic increase in impairment due to alcoholism, addiction and mental health disorders among members of the legal profession. The statistics are compelling and clearly indicate that 1 out of 3 attorneys will likely have a need for substance use or mental health services at some point in their careers.

Mr. Quinn will discuss:

1. The early warning signs of impairment, with special emphasis on stress, burnout and trauma, including the mental health impact of the COVID-19 pandemic.

2. Well-being strategies that really work.

3. The free services that Lawyers Assistance Programs provide to lawyers, judges, their family members and law students.

4. A close look at what barriers exist that prevent lawyers and judges from seeking the help they need.

5. The role that education plays in breaking the stigma and fear associated with addiction and mental illness in the legal profession.

Employer vaccination programs, whether mandatory or incentivized, must be planned carefully, especially to avoid claims under federal, state, and local laws. We will discuss concrete steps employers can take right now including messaging, accommodations, policies, and practices that companies should consider to avoid defending COVID-19 vaccine claims later.

Topics discussed will include:
* Legal differences between FDA’s vaccine approval process and emergency use authorization (EUA) process;
* Employer decision to incentivize vs. mandate the COVID-19 vaccine for employees;
* Employer on-site vs. off-site vaccination clinics;
* Preparing employee messaging regarding management’s decisions about the vaccine;
* Developing policies and best practices for documenting accommodations, collecting proof of vaccination, and data information storage and usage.

This presentation will provide a discussion on recent legal trends in commercial real estate arising from the COVID-19 pandemic.  Specific topics to be addressed will include leasing, acquisitions and dispositions, and general business trends and considerations.

In C.M. Callow Inc. v. Zollinger, the Supreme Court of Canada recently considered the extent of the duty of honest performance of contracts. In doing so, they explored concepts of giving regard to the legitimate contractual interests of one's counterparty, an obligation to correct a false impression created through that party's own actions, and Quebec civil law's concept of abuse of rights. This developing area of the law is expected to be an area of increased litigation (and increased risk for your business) in the years to come.

Join Jesse Harper, Jon Wansbrough, and Zohar Levy of Fasken's litigation group for an update and discussion on the duties of companies in the negotiation, performance, enforcement and termination of a contract in common law jurisdictions. The presentation will look at how this recent decision informs these stages where obligations of good faith can arise.

This program qualifies for up to 1.5 hours of Substantive CPD credit under the Law Society of Ontario's mandatory CPD Regime.
