Session 2: When the Honeymoon Ends: How to Avoid and Resolve Post-Merger Disputes

While the merger of two organizations can be an exciting time full of new opportunities, it is not uncommon for parties to find themselves mired in disagreements post-closing. Disputes commonly arise related to adjustments to the purchase price, allegations post-closing that certain representations and warranties the seller made were breached, and more. Whatever the source of conflict, both parties are likely to examine post-closing results and events to make sure they receive the full benefit of their bargains. While difficult to imagine at the beginning of the marriage, all it takes is for one party to feel they did not get what they expected to stir up conflict and send the deal into a dispute. In this session, advisors will speak to their experiences and recommendations to better negotiate and document transactions on the front end in order to avoid litigation on the backend and what to do if a post-closing dispute happens.

Attendees will learn how to identify and assert often-overlooked key creditor rights.

The program will also cover the most common defenses to lawsuits seeking recovery of "preferential" payments made to a creditor by a debtor in the months leading up to a bankruptcy filing, and will provide insight on reducing the risk that your company will become a defendant in a preference lawsuit or best situating yourself to defend against such lawsuits when they happen.

Crafting a meaningful outside counsel diversity initiative: We know we should, we’re just not sure how

It’s nearly universally accepted that in-house law departments can have a meaningful impact in how their outside law firms prioritize diversity and inclusion among the lawyers assigned to matters. Less universally understood is how to achieve that impact. In fact, recent research from the Thomson Reuters Institute shows that more than half of law departments have yet to implement a diversity initiative with outside counsel, and even those who have do not fully understand how to leverage the data they collect from their law firms.

This session will explore the findings of the research, as well as a case study of one company whose diversity program has won recognition, while also providing examples of steps others can follow to start down the path toward driving results. The session will also explore some of the more common stumbling blocks general counsel might experience in trying to implement such an initiative and how to navigate past them.

The Supreme Court’s decision to end constitutionally protected abortion rights and the state activity since that decision have significant implications for employers and the benefit plans they offer to their employees. This presentation, Roe’s End:  What the Dobbs Decision Means for Employers and Employee Benefit Plans, will examine these implications and how some employers are responding to them.
