The ability to adeptly manage financial resources and accurately assess risks is a key component for litigation success. Wash Your Hands of It! Limiting Contingent Liabilities

and Understanding Seller Protections in Purchase and Sale Transactions

 

Kruger Carson lawyers, Smita Bhakta and Crystal Acker, will explore factors to consider when selling corporate facilities, whether it be office, industrial/warehouse, retail, or any other space used by your company. Smita and Crystal will discuss the best ways to protect the Seller from lingering contingent liabilities and how to effectively cap/liquidate remedies against Seller, so you can rest assured that a disposition of an asset allows you to truly wash your hands of it, or at least get close.

 

This presentation will address recurring risks and legal challenges for government contractors that arise in connection with the preparation of bids and proposals.  Among other things, the presenters will address best practices for handling Procurement Integrity Act issues, including whether and when to disclose the potential receipt of procurement sensitive information.  They will also touch on Organizational Conflicts of Interest and trouble spots arising from the hiring of former government employees.  The presentation will also address issues that may impact eligibility (e.g., business system requirements), disclosure obligations, and cost/price considerations when preparing bids and proposals.  The presenters will focus on practical steps that companies can take to mitigate enforcement and other risks and anticipate potential legal challenges from competitors.

This presentation will explore recent Supreme Court rulings that have reshaped the landscape of administrative law. We’ll begin with Loper Bright Enterprises v. Raimondo, a case signaling the end of Chevron deference, a doctrine that has long guided courts in deferring to federal agencies' interpretations of statutes. Next, we’ll examine Jarkesy v. SEC, which questions the constitutionality of administrative courts, addressing concerns about due process, jury trial rights, and the separation of powers. Finally, we’ll analyze the implications of CFPB v. Community Financial Services Association, focusing on the constitutionality of the federal funding structure for agencies like the Consumer Financial Protection Bureau. This comprehensive round-up will provide key insights into how these rulings are altering the powers and accountability of federal agencies.
