As employees retire and companies acquire more entities, the question of who should serve as a corporate witness has become more complex. Does the company have to find someone with 50 years experience or will the new hire from last year work? What responsibilities does the company have to investigate knowledge for a recently acquired entity? How can the company investigate or provide testimony when there is no one left at the company who worked for it during the relevant time period? The answers to these questions will vary depending on the facts, circumstances, and jurisdiction. This CLE will examine these issues and provide in-house counsel with factors to consider when making the decision to identify a witness who can bind the company and will become the face of the company during litigation. We also will examine recent developments in the case law related to corporate witnesses and what the law requires in terms of the effort to prepare such witnesses.
