In M&A transactions, the intellectual property assets are often a key asset driving a transaction’s value. In these situations, the results of an IP diligence investigation can significantly impact the deal terms, structure and price. And, in some situations, the IP diligence can impact whether the deal moves forward. 

Join us for a lively and informative discussion on best practices in conducting intellectual property (IP) due diligence investigations, including establishing appropriate timing and budget expectations with outside counsel, most common and significant “call-outs” in IP diligence, techniques for mitigating risk, resolving issues and closing the deal (from both the buyer and seller perspective), avoiding “tainting” and trade secret misappropriation claims in the event of a broken deal, and much more!

It’s the subject everyone is talking about – Generative AI – but what do you as in-house counsel really need to know? This program will survey the litigation landscape for best practices so you can avoid litigation. We will also hear from an in-house thought leader on developing policies and procedures for your company’s use of AI because even if your company is prohibiting the use of AI by employees, chances are that they are using it anyway. Be ready for it with some proactive recommendations from litigators and AI policy wonks.

This panel will examine the practical and legal considerations for corporate counsel in advocating for their clients before government agencies and filing suit in response to potential enforcement actions.  Companies often face inquiries from government agencies about their business practices.  Questions in-house lawyers may want to ask in these circumstances include:  

  • When does it make sense to go on the offense, engage with agency lawyers and leadership, and potentially assert the company’s own claims against the government in court?  
  • What strategic issues should companies consider in weighing agency engagement and affirmative litigation against traditional defensive options with respect to government enforcement?  
  • What are broader tactics for proactive strategic engagement with the Executive Branch and Congress?
