Deals involving SPACs have drawn much attention in recent years due to numerous advantages, including the availability of already-raised capital and a quicker timeline than the standard IPO process. At the same time, the surge of transactions has drawn concern from the SEC and attention from the plaintiff’s bar. Baker McKenzie partners, Derek Liu, Perrie Weiner and Steve Canner will give a primer on de-SPAC transactions as a pathway for private companies to access the public markets, discuss current market trends and some of the regulatory and litigation risks associated with this deal structure.

 

 

 

 

 

On July 9, 2021, President Joe Biden issued an Executive Order ("Order") and a supporting Fact Sheet announcing 72 initiatives to increase vigorous antitrust enforcement. The Order sets competition-law priorities for the Federal Trade Commission (FTC), the US Department of Justice (DOJ), and more than a dozen other federal agencies coordinated through a new White House Competition Council.  The Executive Order, aimed at promoting competition, strongly encourages coordination among the agencies to tackle these objectives in both enforcement and policy development, pointing to key industries.

Panelists Matthew Bester, Director of Competition Law at Accenture, and Baker McKenzie attorneys Darcy Down, Creighton Macy and Dominique Manguiat will discuss the Executive Order as well as other recent trends from the DOJ and FTC with respect to merger enforcement. And, importantly, cover what these developments mean for M&A. 

 

 

 

 

 

TOPIC:  “Understanding California’s Restrictions on Employee Mobility and Trade Secrets”

 “Understanding California’s Restrictions on Employee Mobility and Trade Secrets” will feature Dylan W. Wiseman of Buchalter.  Mr. Wiseman was recently recognized by the Daily Journal as one of California’s Top Trade Secret Lawyers for 2021. 

Mr. Wiseman will discuss California’s long-standing public policy favoring employee mobility, and identify the common problems facing businesses which suspect their intellectual property was taken or used by departing employees.  Mr. Wiseman will also address issues confronting businesses who have unfortunately hired employees who have brought or used their previous employer’s intellectual property.  This presentation will qualify for one hour of California MCLE general education credit.
