Inside Counsel, Outside the Lines: Navigating California’s Ethics Rules for In-House Lawyers

In this fast-paced, practical session, Jen Shaw, one of California’s leading employment-law and ethics educators, breaks down the complex obligations that arise when your “client” is an organization rather than an individual.

• Navigate California Rule of Professional Conduct (Organization as Client) and related confidentiality and privilege rules
• Preserve privilege when business and legal advice overlap
• Manage conflicts across subsidiaries, affiliates, and executives
• Deliver effective Upjohn warnings during investigations
• Avoid multi-jurisdiction and technology-competence pitfalls that can expose in-house teams to risk

By the end of this program, participants will be able to: 

1. Apply California’s Rules of Professional Conduct—especially Rules 1.6, 1.7, 1.9, and 1.13—to the unique context of in-house practice, where the client is the organization
2. Preserve attorney-client privilege and work-product protection in communications that mix business and legal advice, including those involving consultants, affiliates, or public relations professionals
3. Identify and manage conflicts of interest that arise from dual roles, complex corporate structures, or concurrent representations of executives, subsidiaries, and affiliates
4. Conduct privileged internal investigations ethically, including delivering effective Upjohn warnings, maintaining confidentiality, and complying with California’s two-party consent recording laws
5. Recognize and mitigate emerging ethical risks in multijurisdictional practice and technology use, including data privacy, AI tools, and remote legal work across state lines

We extend an invitation to serve as a Judge at this year's American Moot Court
Association (AMCA) Golden Gate Regional. The competition will take place
November 15-16 at San Francisco State University's campus.

The AMCA is the largest intercollegiate Moot Court organization in the United
States, with approximately 500 undergraduate teams competing in sixteen
qualifying tournaments to obtain a bid to the Championship Tournament. San
Francisco State University is honored to host one of the sixteen AMCA regional
tournaments this year, in which universities from across the country will
compete. 

MCLE Credit:

If you are a licensed attorney, we have MCLE approval from the State Bar of
California. Participants will receive three (3) free MCLE participatory credit
hours per day they volunteer. We will provide instructions on how to claim the
MCLE credits at the regional tournament.

and Day 2 (11/16). Please note that if you sign up for Day 1 (11/16), we will
need you to judge for all three preliminary rounds. If you sign up for Day 2
(11/16), you can select which rounds you are available for. You can use the

Prosecutors Who Led the Investigation into January 6: Lessons for Large-Scale Litigation

Hear from two high ranking former federal prosecutors who managed the prosecution of the January 6 attack on the U.S. Capitol.  This was the largest investigation in Department of Justice history, involving over 1,500 and a team of hundreds of attorneys and investigators.  In this program, two leaders of the DOJ’s investigation -- the former Chief and Deputy Chief of the DOJ Capitol Siege Section -- will distill lessons learned from managing this litigation of an unprecedented scale.  While the attack on the Capitol may seem like a unique event, the challenges the investigation posed—relating to topics such as management, settlement approach, ediscovery, and team organization—have broad applicability to large-scale litigation of various types.
