Our panel includes Osborne Clarke's Dr. Lars Kutzner, one of Germany's leading lawyers in the field of corporate white collar-crime advice, compliance management services and conducting internal investigations, and Pfizer's Nikki Adame-Winningham, Environmental and Sustainability Corporate Counsel with years of hands-on experience providing timely, business-sensitive legal advice on global environmental, health, safety and sustainability matters, including climate change and human rights.

  • The status of the federal American Data Protection and Privacy Act, including how it could potentially impact the CCPA and other state consumer privacy legislation, as well as its impact on how businesses design and employ algorithms;

Session I — Current Antitrust Issues For Health, Biotech, and Pharmaceutical Companies

The DOJ, FTC, and many state AGs are all promising a dramatic expansion of antitrust enforcement, and legislation that would overhaul existing antitrust laws is before Congress.  This session will discuss the possible impact of the current enforcement environment on health, biotech, and pharma companies.  We will discuss recent cases and policy statements as well as where enforcers might go next.

Session II — Ensuring Pharmaceutical Company Compliance with Updated PhRMA and FDA Guidelines

The year 2021 saw revisions to the PhRMA Code as well as new FDA guidance regarding off-label promotion.  In this program, speakers from McCarter and English and Endo Pharmaceuticals Inc. will discuss these updates and provide guidance on how pharmaceutical companies can navigate these changes and remain compliant.

Session II — Prepare to Spend Some Money: Minimum Salary Under the FLSA Likely to Increase

The federal Department of Labor has stated that it intends to propose, in October 2022, increases to the minimum weekly salary an employee must receive to be exempt under the FLSA’s white-collar exemptions. Currently, the minimum salary for most white collar positions under the FLSA is $684 per week.  Gradual and ongoing increases are all on the table.  As employers move toward year end, budget and other operational considerations should be weighed in anticipation of these potential changes.  This webinar will cover how these potential changes may impact your operations, including options for converting exempt to nonexempt employees and the additional impact of time-keeping requirements.

Session I, 9:00 a.m. to 10:00 a.m. — The Glass Is Half Full… Until It Isn’t

It is great that the glass is full, but always be prepared for a leak.  The goal of corporate attorneys is to get the deal done.  That could be a Merger & Acquisition, a new Master Agreement, obtaining new financing to allow the company to expand, or dozens of other transactions.  And, yes, the corporate attorney does draft and edit provisions about Representations & Warranties and potential breaches, but what happens when things don’t work out as everyone had hoped?  More often than not, the litigation partner is brought in, but only after the parties are not getting along or someone claims something bad happened.  However, at this point the litigator is stuck with the deal terms and the agreed upon contractual language.  Would this have been different if the litigator spoke with the deal/corporate attorney at the beginning?  In our experience, the answer is a resounding “YES!”  We will explore common and often used (or misused) parts of deals and agreements to better protect yourself if (or when) something goes wrong.  Having a better understanding of how litigation works in a business dispute/break-up, will enhance your ability to proactively add key terms that are advantageous to you.

Session II, 10:30 a.m. to 11:30 a.m. — The Evolving Landscape of Corporate Transactions From a Diligence, Valuation and Dispute Perspective

The mergers and acquisitions market saw a record year in 2021 and continues to experience significant activity in 2022. It is critical for in-house counsel to understand the full life cycle of a corporation transaction as well as the proper due diligence steps to accurately value complex transactions. This program will provide an overview of the corporate transaction process from sources of capital, transaction structure, M&A due diligence, and the valuation process. The panel will discuss the current capital markets landscape and volatility and the corresponding impacts to corporate valuations. This discussion will include examples of M&A due diligence and valuation approaches. The program will conclude with a discussion of the current economic uncertainties facing corporations including supply chain disruptions, increasing borrowing costs, and availability of capital, among others.
