The Bridges Group has always been about bringing Members together to learn more about the differences and similarities between people.

Please join the Diversity & Inclusion Bridges Group on Wednesday, September 18th for an evening hosted by the Kirkwood Human Rights Commission for a panel discussion of the Ferguson:  10 years Later - The Past, Present and Future.  

The panel will explore the impact of the "Forward Through Ferguson" report, which made specific recommendations for regional reform.  The panelists, who are all members of the Ferguson Report, will discuss which recommendations were adopted, which were not, and the reasons behind these outcomes.

Program Summary: 
 High-value commercial real estate (“CRE”) transactions demand careful lease negotiations and a thorough due diligence process to mitigate risks and safeguard strategic interests. This session will provide a detailed analysis of sophisticated leasing contract components from both the landlord and tenant perspectives. Participants will take a deep dive into subordination agreements, complex security deposits, survey review, zoning compliance, and environmental regulations.

Program Outline: 

  • Introduction and analyzing commercial lease structures, including net, gross, and base year models, and their implications for rent, operating expenses, and tenant protections. (15 minutes)  
  • Assessing the legal and practical considerations on negotiating tenant build-out allowances, security deposit structures (including burn-down provisions and guarantees), and landlord services. (10 minutes)
  • Examining the scope and limitations of due diligence in CRE acquisitions, focusing on title and survey review, property inspections, and compliance with zoning, environmental and building codes. (10 minutes)
  • Exploring advanced negotiation points in assignments and subletting, including landlord consent, sublease thresholds, profit-sharing, and recapture rights. (10 minutes) 
  • Evaluating the impact of subordinations, non-disturbance, and attornment agreements (SNDAs) on tenant protections and lender requirements. (5 minutes)
  • Identifying emerging trends and best practices in CRE leasing including audit rights, tax assessment challenges, and remedies for landlord defaults. (10 minutes)

Program Summary: 
Artificial Intelligence, particularly generative AI, is changing the legal profession.  Rapidly.  Almost all in-house counsel respondents to a Wakefield Research/Axiom Survey, released in July 2024, said that they are already using AI tools.  Law firms are similarly jumping on the AI bandwagon.  Per LexisNexis’s 2024 Investing in Legal Innovation Survey, the majority of AmLaw 200 firms have purchased AI tools, and 45% of them are already using such tools for legal work.  70% of legal professionals responding to Thompson Reuter’s 2023 Future of Professionals Report asserted they believe AI and generative AI will have a “transformative” or “high” impact on the profession in the next 5 years. With such rapid and widespread adoption of legal AI tools, it is not surprising that, in LexisNexis International Legal Generative AI Survey in August of 2023, an even higher percentage of lawyers (88%) expressed concern about the ethical implications of generative AI on the practice of law. Laura will demonstrate why that number should be 100%.  

Program Outline: 

  • How AI is being used by in-house and outside counsel (10 minutes)  
  • Practical recommendations for identifying and addressing legal, ethical, and business risks posed by AI tools (15 minutes)
  • Evolving risks posed by threat actors armed with AI tools, including generative AI tools, which are increasingly being used to target corporate money, IP, and sensitive personal data, as well as corporate reputation and market value (25 minutes)
  • Final recommendations on how in-house counsel can help their corporations reduce risks posed by AI-supported threat actors, and, in the process, enhance corporate compliance with evolving laws and regulations (10 minutes)

Inspired by the exhibition Art and Imagination in Spanish America, 1500–1800: Highlights from LACMA’s Collection, explore how cultures from all over the world (ormundo) have shared, combined, and influenced each other over time. 

This exhibition features more than 100 works drawn from the Los Angeles County Museum of Art’s notable collection of Spanish colonial art, which has largely been formed in the last fifteen years. The paintings, sculptures, and decorative arts on view underscore the generative power of Spanish America and its central position as a global crossroads.

There will be evening events including art making, cocktails, music, and performances.
