Please join us for the above-titled seminar which will contain an overview of the important risks facing directors and officers of companies in Asia, including traditional threat vectors, claims, lawsuits and regulatory actions. Additionally, the seminar will discuss other legal trends in the area, future risks and, most importantly, risk management solutions. The risk sharing solution of D&O insurance will be reviewed, in depth. Attendees will leave with a full understanding of the policy form, including coverage, exclusions, terms and conditions. Real life claims examples will also be highlighted to provide further illustration.

The M&A Practice has witnessed sweeping changes in the past year. This session will look at how these changes, court decisions and the market volatility have impacted the M&A and Deals market. Topics will include Rep and Warranty Insurance, discussing what's still the same and what's different and the current state of the market for insurance.

The panel will also discuss Corporate Governance in the context of acquisitions and other changes to board of director duties, such as the Caremark decision that has eroded business judgment protection. Additionally, we will discuss how board members are being held accountable for failing to adopt strong compliance programs in areas like FDA compliance for biohealth companies or cyber security policies for all companies.

Cybersecurity rules and best practices for government contractors and suppliers are complex and constantly evolving.  It has been two years since President Biden’s Executive Order on Improving the Nation’s Cybersecurity (EO 14028) and the Department of Defense’s announcement of its updated cybersecurity certification program, and new regulations under both are imminent.  This session will explore the current landscape and forthcoming regulations relating to cyber and supply chain risk management for companies that do business with the federal government. 

We will cover current requirements and best practices as well as the roll out of the Department of Defense’s Cybersecurity Maturity Model Certification (CMMC) program and expected final regulations and guidance on cyber incident reporting and information sharing, secure software development, security for Internet of Things (IoT) devices, and more.
