The Corporate Transparency Act (CTA) will go into effect January 1, 2024.  The CTA will require “reporting companies” to submit a report to the Financial Crimes Enforcement Network (FinCEN) containing personal information about the reporting company’s “beneficial owners.” Unless your business is exempt, CTA will affect most businesses.  Many businesses and their advisors are behind the curve on preparation and compliance. This program will be a fast paced, engaging overview of the CTA, providing answers to questions you didn’t know to ask.

Compliance with the Act will be crucial for all companies that fall within the scope of the CTA, and noncompliance or inaccurate compliance could lead to punitive civil and criminal penalties.

Join us to learn more about what this could mean for you and your clients' businesses.

Presented by Phil Feigen, DC Office Managing Partner and William Quick, Corporate Transparency Act Chair at Polsinelli, Henrique Canarim, Vice President, Senior Assistant General Counsel at Leidos, together with an additional in-house panelist.

This is for informational purposes only, no CLE will be offered.

If you are a GC or CLO, we'd love to have you to join us for our next GC/CLO Lunch Club gathering of 2023.

This luncheon discussion will discuss the future of restrictive covenants (RCs) for employees (for example, non-competes, non-solicits, etc.).  The NLRB has issued strong negative opinions, the FTC has proposed a rule banning RCs, several states are limiting RCs, and California has a new law declaring RCs “illegal” and further requiring employers to deliver notice to employees revoking RCs.

There is no charge for GC/CLO chapter members to attend this luncheon, but pre-registration is required.

Discussion Leaders:

  • Angeline Chen, General Counsel and Chief Administrative Officer of MarkLogic Corporation, a Progress Software company
  • Jackie Davis, Deputy General Counsel of Atlassian

Keynote Speaker:

  • Jesse Raben, Chief Legal and Risk Officer of JDRF

Join us for this transformative workshop on creating a high-impact Diversity, Equity, and Inclusion (DEI) program despite the challenges posed by resource constraints.  In this strategic exploration and conversation about maximizing influence without excess, you will get practical insights and actionable steps tailored to those of us whose organizations are navigating limited resources in our efforts to implement meaningful DEI efforts.

Through collaborative discussion, real-world case studies, and a walk-through exercise, participants will gain a nuanced understanding of how to leverage existing assets for impactful and lasting DEI outcomes. It's a hands-on experience where frugality meets efficacy, leaving attendees equipped with the tools to build a DEI initiative that will thrive  within the boundaries of resource constraints.

This program is presented by the DEI Leadership Development Subcommittee.

With the rise in pay transparency and pay reporting laws, class action lawsuits, activist shareholder proposals, and SEC pay disclosure requirements likely on the horizon, employers need to ensure they are in compliance with a patchwork of new laws and consider whether and how they will communicate their pay philosophy.

In this session, we will cover changes from this past year in state pay equity, transparency, and data reporting laws. We will also briefly discuss potential changes to SEC pay disclosure requirements and provide real-world examples of how shareholder proposals have led to pay disclosure requirements.

DMV employers will want to join this session for a discussion of best practices and recommendations for navigating all of these issues and to learn practical tips for reviewing and improving pay equity.

Presented by Carson Sullivan, Partner and Sarah Besnoff, Senior Associate at Paul Hastings, Kathy Cheung, Vice President and Senior Counsel in the Employment Group at Marriott International, Inc.  and Lesley Marlin, Senior Counsel at FINRA.

1.5 Hours of VA MCLE pending.
