Developed with the transactional attorney or corporate generalist in mind, this session will provide you with the fundamentals to draft and negotiate legally enforceable environmental terms and conditions for the purchase of real property and the sale of an on-going concern with environmental liabilities. Our panel will focus, in particular, on environmental law including indemnification provisions, baselines, and related insurance. From this program, you will be able to draft and negotiate environmental terms in a contract without being forced to go to outside counsel for assistance.

When you went to law school no one thought to teach you about the variety of matters that you must understand today to be an effective in-house counsel: business strategy, financial red flags, and organizational behavior, to name a few. Recognizing this gap in our legal education, the Northeast Chapter, working with Boston University, created a program to address these issues and won this year's award for their efforts. Through outsourcing, law departments can save money, improve law department productivity (and morale), and add more value to the business - IF you are careful to outsource the right things for the right reasons, select the right provider to meet your objectives, and manage the LPO/firm relationships well. Through a blend of instruction, mini-case presentations and small group exercises, you will develop the decision-making and management skills to lead successful outsourcing programs.

Real estate leasing issues often cross the desks of in-house counsel. This course reviewed the basic types of real estate leases, retail leases and industrial/warehouse leases primarily from the tenant’s perspective, highlighting pitfalls to avoid and explaining commonly misunderstood and difficult lease provisions. The course also addressed other types of ancillary agreements that frequently arise as part of lease negotiations such as the guaranty and work letters.
