This sample includes three real estate purchase provisions. The first provision addresses the requirement of Brokers. The second provision allows the Seller to take all actions reasonably requested by the Purchaser to effectuate all or any part of the transactions contemplated by the Agreement as a forward or reverse like-kind exchange for the benefit the Purchaser. The third provision addresses publicity, that the Seller is prohibited from furnishing any information regarding the Agreement or the transactions or the identity of the Purchaser to any third party.

This sample includes two real estate lease provisions. The first provision addresses subordination where the Landlord reserves the right to subject and subordinate the Lease to the lien of any first mortgage or deed of trust for the benefit of any Mortgagee. It also provides a definition for Mortgagee. The second provision requests the Landlord to deliver to the Tenant a subordination, non-disturbance and attornment agreement executed by each Mortgagee, if a Mortgage encumbers the property on the Effective Date.

By using this LOI, a foreign investor can outline its intention to purchase all or part of the registered capital in a domestic Chinese company that is not listed and may have subsidiaries. An LOI is also often referred to as a heads of terms, term sheet or memorandum of understanding. The LOI China is drafted for a single buyer and a single seller. It includes legally binding provisions relating to the exclusivity of negotiations and costs, and assumes that a confidentiality agreement has already been entered into. It has been drafted from the perspective of the foreign buyer and assumes that Chinese law applies.

This subordination clause indicates that this Lease is subject and subordinate to any mortgage or deed of trust which may now exist or be placed upon the property. It also includes the timelines and procedures for the Tenant and Landlord, if any mortgage or deed of trust is foreclosed, or a conveyance in lieu of foreclosure is made.

This mortgage clause indicates Tenant’s acknowledgement that this Lease is subject and subordinate to any first lien mortgage or deed of trust and to all renewals, modifications, consolidations, replacements and extensions thereof.
