Program Summary:
This program provides in-house counsel and business attorneys with practical strategies to navigate acquisitions and divestitures while avoiding costly mistakes that can derail transactions. Using real-world examples, case law, and insights from recent surveys, the session explores the differences between strategic and distressed sales, essential due diligence “housekeeping” measures, and the impact of customer and vendor concentration on valuation. Participants will also examine common negotiation landmines—including representations and warranties, indemnification, earn-outs, and regulatory approvals—as well as proactive divestiture planning, Transition Services Agreement challenges, and buyer diligence considerations. Attendees will leave with actionable tools to identify risks early, preserve value, and manage transactions more effectively.
