ACC AustraliaIn this session Esteban will break down what a shareholder agreement is, its purpose, when you should have one and typical provisions and variants. Starting with the various reasons and scenarios which lend well to entering into a shareholder agreement, Esteban will delve into Board nomination rights, decision making matrices, funding arrangements, pre-emptive rights, transfer provisions (including drags and tags), default and exit mechanisms. Esteban will also overlay his practical experience of having resolved issues with shareholders who approached issues from different perspectives. This session is intended to be interactive with a significant question and answer element, and so would suit in-house counsel who have some prior experience with these agreements and would like to expand their practical knowledge.
At the end of the session, you will be armed with knowledge of key focus areas and how to reflect true intention and maximize benefit for your business or investment.
Speakers
Esteban is a corporate lawyer with more than 15 years’ private practice and in-house experience in corporate advisory, mergers and acquisitions and capital markets transactions.
He is skilled at advising companies at every stage of their life cycle, from start-ups to scalable businesses and multinational corporations.
Esteban has been named in Best Lawyers Australia for equity capital markets and corporate law. He is admitted as a lawyer in Australia, England and Wales (non-practising) and New York (non-practising). He speaks fluent Spanish.
