Maynard’s presentation will provide an overview and best practices for preparing and negotiating confidentiality agreements and letters of intent, which are critical to getting an M&A transaction started in the right direction.

BRADLEY H. WOOD Shareholder 

Brad is Shareholder in Maynard Cooper's Corporate Securities & Tax Practice and serves as Co-Chair of the Firm's Mergers & Acquisitions practice group. He counsels a wide variety of companies, including public and private operating companies, private equity and venture capital funds, and family offices. While Brad represents companies and funds of all types and sizes, he has developed particular expertise in middle-market private company transactions on both the buy-side and sell-side. These transactions include a broad range of structures, such as mergers, equity, and asset acquisitions/divestitures, private equity and venture capital financings, "add on" acquisitions, minority and dividend recapitalizations, and joint ventures. Brad also regularly guides clients through corporate governance issues and provides general counsel and strategic business advice.

LAURA E. SANDERS Associate  

Laura is a corporate attorney in Maynard Cooper’s Birmingham office with a practice focused on representing clients in general corporate governance, mergers, acquisitions, and securities-related matters. She is a member of the Firm's Corporate Securities & Tax, Mergers & Acquisitions, and Public Company Advisory practice groups. Her client interaction involves working on behalf of publicly traded and privately held companies, private equity funds, and non-profits operating in a broad spectrum of industries including banking and financial services, insurance, healthcare, transportation, and manufacturing. Laura has experience representing businesses on both the buy-side and sell-side of acquisitions. With her corporate knowledge and practice focus, she is frequently assisting clients with complex business decisions, as well as working closely with clients to help them resolve corporate governance issues that surface. She advises public and private companies with respect to their Securities and Exchange Commission filing obligations and all areas of securities law compliance. Laura also assists clients with matters involving corporate governance and corporate structure. In addition, she has experience preparing corporate governance documents and confidentiality or non-disclosure agreements.
