To obtain leverage in the litigation and access the company's Directors and Officers' Insurance, plaintiffs' lawyers often name as defendants, individuals employed by the company.

This presentation will cover what the in house attorney needs to know concerning the possible insurance coverage available for officers and others named as defendants; the interplay between their rights and the company's obligations concerning indemnification and insurance; the effect of bankruptcy and/or the inability or refusal of the company to indemnify the individual defendants as well as the various ethical rules implicated under the Texas Rules of Professional Conduct.
