Since the launch of bitcoin in 2009, cryptocurrencies and the encrypted, decentralized blockchain protocols that underpin them have grown from abstract theories to a transformational force that is disrupting the way many industries will operate for decades to come. In recent months the U.S. Securities and Exchange Commission and other agencies have increasingly spoken out and taken regulatory actions regarding cryptocurrencies and other digital assets. Significant concerns remain regarding the potential for fraud and manipulation, especially in the context of "initial coin offerings" or "ICOs." In this session, we will discuss the use of blockchain, cryptocurrencies and other digital assets and the complex legal issues that arise in relation to the use of these technologies, including regulatory compliance (including valuation, custody and reporting), corporate and securities law (including ICOs), fund formation, derivatives, litigation and regulatory enforcement. We will also discuss the current state of regulation with respect to registered funds investing in digital assets and the road to a cryptocurrency ETF. Whether using blockchain for purposes such as recordkeeping or settlement, launching funds to invest directly or indirectly in digital assets or creating new "coins" or "tokens" in connection with the launch of new distributed networks, firms operating in this area have many legal and regulatory concerns that must be addressed. This session will provide a roadmap to identify and track the key issues that may arise for these firms.
