ACC ArizonaThis CLE will provide a high-level overview of the structure of commercial credit agreements. We will discuss the material provisions in a credit agreement, including the types of provisions that company counsel should be aware of and negotiate. Attendees will learn what company counsel needs to know about the fundamental concepts of Article 9 of the UCC and common Article 9 issues that arrise under commercial credit agreements. The presentation will also include tips on the practical application of Article 9 for buyers or sellers in the context of due dilligence of an M&A transaction.
