ACC ChicagoMany commercial agreements call for licenses of trademarked products or services. The most obvious examples are supply, manufacturing and distribution agreements. Less obvious examples include joint venture, branding, management, sales agent and other types of licensing arrangements. Many experienced practitioners are surprised to learn that these agreements may be construed as franchises. This can have dire legal and business consequences. This Program will look at the risk of the so-called "accidental" or "inadvertent" franchise. The session will address the development of franchise law in the United States. It will also consider application of the Illinois Franchise Disclosure Act and other state laws regulating the franchise relationship. By the end of the Program, in-house counsel will have a basic understanding of franchise law, and will gain insight about best practices and other risk-avoidance strategies.
