ACC ChicagoThis Program will examine those often boiler plate provisions in contracts that many parties to the contract and in-house counsel do not review that could become very important later down the road. Many clauses that appear in contracts, such as jury trial waivers, arbitration and mediation, choice of law and choice of forum, integration and merger clauses or disclaimers of reliance upon extracontractual representations, no oral modifications, limitations of liability provisions, waiver of consequential damages, anti-waiver clauses, liquidated damages and other remedy clauses, and waiver of the duty to mitigate damages, among others, are often barely negotiated and overlooked and might ultimately have a pivotal impact to a dispute.

Howard K. Jeruchimowitz, Shareholder, Greenberg Traurig, LLP
Howard is a commercial litigator with an emphasis in the Real Estate, Construction, and Financial Services Litigation Practices. He represents owners, developers, landlords and tenants in landlord-tenant and shopping center disputes, mechanics liens, foreclosures, and construction disputes, as well as banks and lenders in bank and mortgage litigation, such as mortgage fraud, commercial and residential foreclosures, mechanics lien, and FDCPA issues. Howard also has significant experience in post-judgment proceedings and asset-recovery litigation, including fraudulent transfer, alter ego and veil piercing litigation. He has a wide range of experience in trials in both state and federal courts, as well as arbitrations and mediation.
Marianne Simonini, Vice President-Due Diligence and Closing, Heitman LLC (Formerly Senior Real Estate Counsel, Sears Holdings Corporation)
Prior to joining Heitman, Marianne managed the entire SHC real estate litigation portfolio as well as all real estate matters for the mid-eastern coastline region for Sears Holdings Corporation and its subsidiaries and affiliates. Her experience encompasses both retail and non-retail formats. She also was the single-point-of-contact for the nationwide $1.3 billion, 125-property REMIC real estate portfolio and lead on all transactions for the REMIC portfolio. As the in-house counsel REMIC lead, she handled the in-house due diligence portions of the PBGC/SHC transaction and the eventual unwinding of the REMIC portfolio. Marianne started her career in the general practice of law (with a concentration in real estate) representing businesses and individuals in various litigation and transactional matters. Her diverse background brings a welcomed element of practicality and efficiency to her representation of clients.
