Join ACC TN and Miller & Martin for a presentation that will provide a practical discussion of standard contract provisions that companies often encounter. Standard provisions – sometimes referred to as “boilerplate” – can have an outsized effect on a company’s rights and liabilities. They arise in all types of agreements, including vendor contracts, business partnership agreements, software & licensing agreements, employment agreements, and construction/real estate contracts. Attendees will also hear about common pitfalls with standard contract provisions language that can expose companies to risks if a dispute arises.

Speakers

Presenters: Matt Jannerbo & Billy Eiselstein of Miller & Martin
Matt Jannerbo, Chair of Miller & Martin's Corporate Department and its Emerging Business Group, focuses his practice on start-up and emerging companies, venture capital, mergers and acquisitions and general business representation. Mr. Jannerbo advises clients with respect to mergers and acquisitions of middle-market companies on a nationwide basis, representing both buyers and sellers in transactions.
Advising companies raising capital by way of private securities offerings and venture capital financings, he has assisted companies in a number of industries which include: software applications, software services, gaming, social media, banking, furniture, restaurants, biodiesel technology, environmental clean-up technology, information technology and real estate. Mr. Jannerbo has also assisted a number of private equity funds, hedge funds and investment partnerships with respect to their private capital raising efforts. His practice involves the general representation of businesses with respect to general business, tax matters and terms of use, privacy policies and similar agreements. He also negotiates software licensing and technology agreements for both technology companies and end users. He is licensed in Tennessee. He is a member of the American, Tennessee and Chattanooga Bar Associations and serves on the board of directors for The Company Lab (Co.LAB), Chattanooga Public Market, Inc. and Causeway, Inc. Matt earned his J.D. from the University of Tennessee College of Law and L.L.M. in Tax Law from Georgetown University Law Center. He completed undergraduate studies at the University of Tennessee.
Billy Eiselstein is a member of Miller & Martin’s Business Litigation Practice Group and co-chairs the firm’s Privacy & Data Security Group and, since 2010, has been the firm’s General Counsel. He represents business clients in a wide range of disputes, including cases of alleged fraud, breach of contract, intellectual property rights and insurance coverage, and advises on issues of data security and cyber-insurance coverage. He litigates in federal and state courts and has tried both jury and bench trials to judgment. Billy earned his J.D. from the University of Tennessee College of Law in 1995 following graduation with a B.A. from Emory University. He is a member of the Tennessee and Georgia bars. His memberships include the Society of Corporate Compliance and Ethics, State Bar of Georgia, Litigation and Professional Liability Sections, American Bar Association’s Center for Professional Responsibility, and the Tennessee Bar Association.
