Organizations are using AI tools in their everyday business operations, and third-party software providers are offering more and more AI tools to help businesses run efficiently and use data effectively.  But what pre-contract due diligence should be done on these AI tools, and what provisions are needed in agreements that govern these AI tools?  In this CLE, we will provide practical, real-world advice on how to address the risks of these AI tools through pre-contract due diligence and contractual provisions.  We will discuss the due diligence businesses should be conducting prior to contracting for any AI tool (including the questions to ask an AI vendor and requests to make), and the contractual provisions to consider including in any agreement governing an AI tool.
