Negotiating and Drafting Effective Indemnities
Indemnities are one of the most negotiated clauses in many commercial contracts, however the rationale for their use and their effect is often not well understood. The drafting of each indemnity is critical and the devil is in the detail.
In this session, Partners Emanuel Confos and Caitlin Whale will step through the key features of contractual indemnities and provide a practical checklist of tips and traps to help draft effective indemnities that properly reflect the risk allocation agreed between commercial parties.

Emanuel Confos, Partner, Baker McKenzie
Emanuel Confos is a partner and head of the construction team. With over 25 years’ experience advising on all aspects of construction matters at both the ‘front end’ and ‘back end’, Emanuel is recognised as a leading construction and projects lawyer and is ranked by Chambers AsiaPacific, Legal 500 Asia-Pacific, Who's Who and Best Lawyers. Emanuel has drafted and negotiated complex construction contracts (EPC, O&M, D&C) for large scale commercial and residential projects as well as in the energy, health, hospitality, education, technology and mining sectors.
Emanuel has extensive experience in acting for clients in large scale complex construction claims and litigating having appeared in the High, Supreme, Federal and Land and Environment Courts.
Caitlin Whale, Partner, Baker McKenzie
Caitlin Whale is a partner in the Technology, Communications and Commercial team. She advises on technology, outsourcing and commercial law issues and specialises in the areas of outsourcing and complex technology transactions. Caitlin also advises global and local clients on telecommunications regulations in Australia.
Caitin has extensive experience in advising on a range of commercial arrangements, including licence and software agreements, research & development and collaboration agreements, supply agreements and distribution agreements.
