Session I — What Every In-House Counsel Should Know About Differences in Diligence Approaches for Small and Large Deals

Troutman Pepper attorneys will offer insights on different and unique due diligence concerns that arise when navigating both small and large deals.  They will discuss such issues as the sell/buyside process, auction pacing, regulatory challenges, and levels of risk for transactions below $25M, between $25M-$150M, and $150M and above.  Additionally, the panelists will discuss:

  • Materiality and priority;
  • Staging and pacing;
  • Coordination on request lists and functional areas;
  • Strategic vs. Private Equity Group Diligence and how to compete;
  • Specific regulatory, insurance and other key considerations.

Session II — Surviving Stockholder and/or Government Investigations: What to do When Confronted With Civil and Criminal Investigations

Despite their superior intellect, judgment, and savvy, in-house lawyers sometimes are unsuccessful in guiding their operational or business-side colleagues to avoid conduct that may bring scrutiny on their company.  Indeed, financial irregularities, workplace culture issues, and other risky behavior often invite scrutiny from stockholders and the government.  In this presentation, expert panelists will explore information demands and investigations by stockholders or government entities, as well as best practices for dealing with those situations.

Session III — Environmental, Social, and Governance (ESG): A Survey of Current Issues

Expert panelists will discuss the contours of ESG and ESG metrics; recent SEC rule-making initiatives; drivers both in the US and overseas; ESG backlash and preview COP27.
