Overview (Program Summary)

During this presentation we will discuss the roles and responsibilities of the Board of Directors in overseeing the business strategy and company’s management. The discussion will include a review of the fiduciary duties Board members owe to the corporation and an analysis of what Board members must do (or not do) to meet their legal obligations to shareholders and stakeholders. The presenters will also cover the legal department’s difficult role when issues occur between the company’s management and the Board of Directors. Finally, the presenters will review the importance of tracking performance and taking appropriate action when the  management’s performance places the company in legal or financial jeopardy.
