The COVID-19 pandemic has had far-reaching effects not only on overall M&A activity, but on due diligence, risk allocation and a host of deal terms.  With the pandemic not abating and six months of COVID-era transactions behind us, these issues are no longer “novel” and are here to stay.  Please join us while we address topics that all M&A participants must consider, including:
* Critical areas for expanded or focused due diligence
* Delaware M&A litigation related to the pandemic
* Purchase agreement issues and solutions, including:
         - Material Adverse Effect (MAE) definitions and MAE termination provisions;
        - Compliance with interim covenants and closing conditions;
        - Purchase price adjustments; and
        - Additional representations and warranties
* Acquiring companies with PPP loans
