ACC Southern CaliforniaIt is important for companies to ensure that their commercial and patent strategies are aligned and that they do not engage in activities that compromise their valuable intellectual rights. For example, one potential problem can occur where third parties are involved with the development and commercialization of inventions. The Helsinn case, which is currently before the Supreme Court, considers whether confidential commercial activities can act as patent-negating prior art. We will discuss generally how to align commercial and patent strategies in the development and protection of patent rights, advantages of achieving alignment, pitfalls that may result in the failure to achieve alignment, and best practices for achieving alignment and for avoiding pitfalls. We will also discuss why, regardless of the outcome of Helsinn, relying on the confidentiality of commercial agreements may not serve as the best defense strategy for patent owners.
