Piper Alderman, in partnership with the Association of Corporate Counsel (ACC) Victoria, invites you to a panel discussion examining the Star Entertainment decision through the lens of in house counsel responsibility and risk.
Justice Lee’s judgment has sharpened expectations of governance, escalation, and accountability, particularly for senior executives and legal leaders. For in house counsel, the decision raises difficult and timely questions about role boundaries, influence, information flows and personal exposure.
This interactive panel will focus on the practical realities facing in house legal teams, including:
• Challenges for in-house counsel wearing multiple hats – including re board packs and reporting
• The GC’s role as a “control point” in relation to risk and decision-making
• Optimising how the legal function and the risk function can work together
• Managing any tensions between commercial pressure, culture, and compliance

Speakers

Sean Hughes most recently served as General Counsel, Vanguard Australia
Sean Hughes most recently served as General Counsel at Vanguard Australia, and previously at Tabcorp, with significant experience across law, governance, regulation, financial services, wealth management, and risk. Prior to his time at Vanguard, Sean was a Commissioner at the Australian Securities and Investments Commission (ASIC). He is known for ethical leadership and building trust, helping organisations navigate complex compliance obligations and deliver sustainable outcomes.
Naomi Feast, Chief Risk Officer, Medical Indemnity Protection Society Limited (MIPS)
Naomi Feast is the Chief Risk Officer of MIPS. Prior to joining MIPS, Naomi worked in the insurance and energy industries in varied executive and senior roles in risk management, and across policy, regulatory and consumer protection experience in state and federal government. Naomi holds a Bachelor of Laws and Master of Business Administration and is a Graduate of the Australian Institute of Company Directors.
Alastair (Al) Macphee, Special Counsel, Piper Alderman
Al is an experienced corporate lawyer specialising in corporate governance and commercial contracting. He brings deep experience advising boards and senior leadership teams on governance, risk, and regulatory accountability, and will focus on the real-world implications of this decision for in-house counsel.
James Macdonald, Managing Partner, Piper Alderman
James has over 25 years experience in corporate and commercial law with an emphasis on a wide range of corporate structuring, acquisitions, disposals, capital raisings, listings, venture capital transactions, corporate governance advice, shareholder disputes, commercialisation of intellectual property, employee share plans and commercial contracts. He has advised listed and unlisted companies and private equity funds in a wide range of transactions in both Australia and Europe.
